- Morgan Stanley said Bank of America's (NYSE: BAC) capital needs are largely known and shares are trading "cheaply despite reduced downside risk." The firm upgraded shares to Overweight from Underweight and raised the price target to $25 from $16. Shares were also upgraded to Outperform from Neutral at Baird citing manageable capital needs and attractive risk/reward.
- Keefe Bruyette upgraded Fifth Third Bancorp (NASDAQ: FITB) to Outperform from Market Perform on valuation as it views the stock as inexpensive despite the recent rally. The firm has an $8 target on the stock.
- Banc of America/Merrill upgraded Ericsson (NASDAQ: ERIC) to Buy from Neutral as it believes fewer hedging losses could bring upside over the next few quarters.
- Rio Tinto (NYSE: RTP) was raised to Overweight from Neutral at Barclays.
- EnerNOC (NASDAQ: ENOC) was lifted to Buy from Neutral at Janney Montgomery.

- Goldman upgraded Gerdau AmeriSteel (NYSE: GNA) to Buy from Neutral and has a $5.50 target on shares. Shares were upgraded due to the potential impact from infrastructure spending. Note that Goldman downgraded Steel Dynamics (NYSE: STLD) and Olympic Steel (NYSE: ZEUS) to Neutral from Buy.
- Banc of America/Merrill upgraded Coca-Cola Enterprises (NYSE: CCE) to Buy from Neutral and raised the price target to $18 from $15. The firm the strong Q1 report gives them greater confidence in shares.
- Roth Capital upgraded Halozyme (NASDAQ: HALO) to Buy from Hold due to increased clarity into Roche programs, the discontinuation of the chemophase program, and progress on insulin delivery.
- American Movil (NYSE: AMX) was raised to Overweight from Neutral at JP Morgan and to Hold from Sell at Citigroup.
- Barclays (NYSE: BCS) and Lloyds TSB Group (NYSE: LYG) were upgraded at HSBC to Overweight from Neutral.

I think the Government will try at all costs to create the impression that only a limited number of banks are going to be nationalized. To achieve this, Secretary Geithner has requested that the top 15-20 banks in the country undergo a stress test, where regulators will review banks' capital positions under a variety of economic scenarios. And, based on these reviews, those banks that fail will be given convertible preferred stock to boost their capital levels to some yet to be determined level.

TheStreet.com's Jim Cramer says picking stocks -- or worse, picking a bottom -- remains a dangerous activity. Sometimes it is so bad that it is BAD! Don't laugh at that seeming bit of counterintuitive logic. Every investment professional knows that because of the way economic cycles and central banks work, you are often looking for signs of such stress and negativity that it is so bad it is GOOD because of what the banks can do and what a bottom looks like.
This time it hasn't worked out that way. This time, what's bad is bad and getting worse. This weekend, David Carr in The New York Times wrote an excellent piece about the mistake of looking for a silver lining, something that news media does.

U.S. stock futures were higher today, indicating a possible positive start on Wall Street after the Federal Reserve, in a coordinated effort with other central banks acted to calm the markets,
injecting $180 billion in to money markets. Also in focus are WaMu and Morgan Stanley, both are said to be on the block. Weekly initial jobless claims will be announced an hour before the market opens, and could sway sentiment in the face of the deteriorating employment picture. The Philly Fed survey for September and August leading indicators are also on tap.
The New York Times reported that according to its sources,Morgan Stanley (NYSE:
MS) is
considering a merger with Wachovia (NYSE:
WB). Morgan Stanley is considering other options as well, but so far all talks are preliminary and no deal may emerge. According to CNBC,
Chinese bank Citic is also in talks with Morgan Stanley. If a deal goes through, it would leave Goldman Sachs (NYSE:
GS) as the last one of the large independent brokers. MS shares are up 4% in pre-market trade, WB's up 10%.
Another option for Morgan Stanley reported by CNBC is
sale of a minority stake to China's sovereign wealth fund, China Investment Corporation(CIC), which already owns 9.9% of Morgan.
The New York Times also reported Wednesday that according to their sources, Washington Mutual (NYSE:
WM) has also
begun exploring a sale in the event that it cannot find some other way to raise additional capital. Washington Mutual has hired Goldman Sachs to assess its options, which could include Wells Fargo (NYSE:
WFC), JP Morgan Chase (NYSE:
JPM) and HSBC (NYSE:
HBC). According to Bloomberg, Citigroup Inc (NYSE:
C) and Bank of America Corp (NYSE:
BAC) have
also expressed interest. WaMu shares are up 14% in pre-market trade. In general, all finanacial are up in pre-market over 2% and higher.

TheStreet.com's Jim Cramer says the intervention will help all financials worldwide. How about this? We are better off than we were yesterday.
You have to understand that we simply wouldn't be able to open most financials if
AIG (NYSE:
AIG) (
Cramer's Take) had failed. Our new sovereign wealth fund, the Federal Reserve, came up with an elegant plan to take over AIG and make good on what would have been broken guarantees that would have caused worldwide capital calls and bank closings that honestly would have made the Great Depression seem like the Little Depression, World War I to our new World War II. That's worth avoiding.
It's hard to rally on this. People are still reeling from the enormity of it and the fragility that we didn't know about. I am actually pleasantly surprised that the Fed recognized that we had a problem this size on our hands.
You have to look at this only one way: Without this nationalization, we might not have had banks paying off other banks. We would have a seize-up and a destruction of capital that we simply couldn't handle.
Now we are going to rebuild on a firmer basis.

U.S. stock futures edged lower Wednesday morning after the government announced late Tuesday it would help save AIG. Investors may be relieved with the action on AIG and even the Federal Reserve decision
not to move Tuesday, leaving room for a future rate cut, there are still big concerns about the state of financial markets. Investors today will also get data from on building permits and housing starts for the month of August. Oil rebounded today ahead of inventory report to over $93 a barrel.
The Federal Reserve said late Tuesday that it would to
lend $85 billionAmerican International Group (NYSE:
AIG), taking a 79.9% stake in the company. AIG shares are still sinking 30% in pre-market trading.
Meanwhile, as the government refused to help
Lehman Brothers (NYSE:
LEH) and the company filed for Chapter 11 Monday, Barclays PLC (NYSE:
BCS) said it would
buy Lehman's banking and capital markets business for $250 million. Barclays walked away from the deal a few days ago, perhaps waiting for a better price, in what many say BAC should have done with Merrill. BCS shares are up over 5% in pre-market trading, LEH's down over 25%.
Morgan Stanley (NYSE:
MS) reported its quarterly earnings early to calm investors, posting
better-than expected results. It seems the last two major independent investment houses, Morgan and Goldman Sachs (NYSE: GS), which also reported earning Tuesday, both
posted third-quarter profits despite continued chaos in the financial markets.
J.P. Morgan Chase (NYSE:
JPM) is reportedly in advanced talks to make a bid for Washington Mutual (NYSE:
WM).

Each year Steven Halpern, editor of TheStockAdvisors.com, surveys the leading financial newsletter advisors asking for their favorite stocks for the coming year. This article is part of his 24th annual Top Picks Report.
Lloyds TSB Group PLC (NYSE: LYG) is a favorite conservative stock idea for 2007 from Jack Adamo, editor of Insiders Plus.
"While it is not the Lloyd's of London of specialty insurance fame," points out Adamo, "this London-based financial services powerhouse has roots dating back to 1765, and operates in three segments: U.K. retail banking; insurance and investments; and wholesale and international banking. It also provides brokerage, asset management, and pension services.
"It's not exactly exciting, but I think it will noticeably outpace the market in 2007. What it has going for it is financial clout, with a $60 billion market capitalization and a current dividend yield of 5.7%. Growth in earnings is expected to come in around 12.5% from 2006 to 2007.
"Lloyds currently trades for 11.25 times expected 2007 EPS of $3.86 per share. I look for total return to come in at around 18% in 2007. Lloyds' high yield provides cover in a down market, and may add extra price appreciation as investors go for yield in a falling market. That could push total return to the 25% range.
"Another significant factor in its favor to consider is the likely appreciation of the British pound sterling against the U.S. dollar, which will provide a boost to returns for U.S. investors."
