Futures on the <a href="http://www.dailyfinance.com/quotes/dow-jones-industrial-average/%24indu/dji" class="inlinked">Dow Jones Industrial Average</a> gained 12 points to 12,021 and S&amp;P 500 futures rose 1.40 points at 1,305. Nasdaq 100 futures gained 1.25 points to 2,323. <br />
<br />
Positive sentiment ruled the European markets today. While STOXX Europe 600 Index has gained 0.30%, London's FTSE 100 Index moved up 0.38%.<br />
<br />

Today's market selling was, from the start, all about profit taking from yesterday and overseas market participants getting out of weaker dollar denominated assets. The late day buying failed to materialize into an all-out rally.<br /><br />Here are today's unofficial closing bell levels:<br />

Oppenheimer cut the rating down to "Perform" after the company <a href="http://www.bloggingstocks.com/2008/12/17/more-panic-over-jobs-health-is-wrong-reaction/">killed the Macworld conference</a>. Shares were down almost 7% at $88.95 right before the close.<br /><br /><a href="http://finance.aol.com/quotes/constellation-energy-group-inc/ceg/nys ">Constellation Energy Group</a> (NYSE: <a href="http://finance.aol.com/quotes/constellation-energy-group-inc/ceg/nys ">CEG</a>) fell after EDF in France trumped Warren Buffett in the buyout process for the company. EDF will now buy 49.99% of the company's nuclear assets for roughly $4.5 billion. The <a href="http://www.cnbc.com/id/28240805/">whisper number</a>, however, may be worse, not to mention that future earnings and revenue are very much in jeopardy too due to the current climate which doesn't lend itself to people needing the services Goldman has to offer. Update: GS shares jumped over 5% after the bank said it <a href="http://money.cnn.com/2008/12/16/news/companies/goldman_sachs/index.htm?eref=aol">lost $2.1 billion</a>, or $4.97 a share during the fourth quarter.<br /><br /><strong>General Motors Corp. (NYSE: <a href="http://finance.aol.com/quotes/general-motors-corporation/gm/nys">GM</a>)</strong>, <strong>Ford Motor Co. (NYSE: <a href="http://finance.aol.com/quotes/ford-motor-company/f/nys">F</a>)</strong> and Chrysler may be receiving strong signals from the White House that <a href="http://money.aol.com/news/articles/_a/bbdp/white-house-assures-automakers-help-is/265581">short-term help</a> in the amount of $15 billion for the latter two is on the way. GM and Ford shares traded over 2% higher in premarket action.<br /><br /><strong><strong>Citigroup Inc. (NYSE: <a href="http://finance.aol.com/quotes/citigroup-incorporated/c/nys">C</a>)'s </strong></strong>Japanese subsidiary said it will <a href="http://dealbook.blogs.nytimes.com/2008/12/16/citi-sells-japanese-trust-unit-to-mitsubishi/">sell its Japanese trust banking unit</a> to <strong>Mitsubishi UFJ Trust and Banking</strong> in an all-cash deal, valued at 25 billion yen ($277.6 million). The deal is expected to close around April 1. Citi shares were higher in premarket trade following the announcement. Citi also voiced <a href="http://online.wsj.com/article/SB122938868288709017.html?mod=testMod">upbeat view</a> on Dubai.<br /><br /><strong>Best Buy (NYSE: <a href="http://finance.aol.com/quotes/best-buy-incorporated/bby/nys">BBY</a>) </strong>is also expected report earnings of 25 cents per share before the bell. Update: BBY <a href="http://www.bloomberg.com/apps/news?pid=20601205&amp;sid=aK5WQFnUEKEw&amp;refer=consumer">profit fell</a>, but it reaffirmed outlook; shares climb 6.5% in premarket trade. <strong>Adobe Systems Inc. The offer challenges an earlier bid from MidAmerican, a unit of <a href="http://finance.aol.com/quotes/berkshire-hathaway-inc-cl-a/brk.a/nys">Berkshire Hathaway</a> (NYSE: <a href="http://finance.aol.com/quotes/berkshire-hathaway-inc-cl-a/brk.a/nys">BRK.A</a>). </p>
<p>If you think that the stock won't fall by too much in the coming months, then now could be a good time to look at a bullish hedged trade on CEG.<br /><br />CEG opened this morning at $30.00. So far today the stock has hit a low of $27.37 and a high of $30.17. As of 12:35, CEG is trading at $28.04, up $2.89 (11.5%). GM said it wouldn't last till New Year's without an immediate $4 billion and is asking for as much as $18 billion to keep afloat and survive. Together they asked for $34 billion. Meanwhile, <a href="http://money.aol.com/news/articles/_a/bbdp/nov-auto-sales-sink-to-worst-level-since/265447">November auto sales plunged 37%</a> with Ford's U.S. sales declining 31%, GM's falling 41% and Chrysler LLC's dropping 47%. Overseas rivals didn't do better. GM shares traded 5.2% lower and F's 1.9% higher in pre-market (7:51 and 7:55 am respectively).<br /><br /><span style="font-weight: bold;">Research In Motion Ltd. (NASDAQ: <a href="http://finance.aol.com/quotes/research-in-motion-limited/rimm/nas">RIMM</a>)</span> <a href="http://money.aol.com/news/articles/_a/bbdp/blackberry-maker-cuts-profit-outlook/266271">lowered its financial</a> earnings per share, revenue and new subscriber accounts guidance for its third-quarter, saying it has added fewer new subscribers than expected as the economy slowed. This news will likely have an effect on <span style="font-weight: bold;">Apple Inc. (NASDAQ: </span><a href="http://finance.aol.com/quotes/apple-inc/aapl/nas" style="font-weight: bold;">AAPL</a><span style="font-weight: bold;">)</span> as well. RIMM shares already hit a low Tuesday following an estimate cut from JPMorgan. RIMM shares traded 5.6% lower in premarket action (7:58 am). AAPL shares were down 2% in premarket trade (8:09 am).<br /><br /><span style="font-weight: bold;">Bank of America (NYSE: <a href="http://finance.aol.com/quotes/bank-of-america-corporation/bac/nys">BAC</a>)</span> could end up <a href="http://www.cnbc.com/id/28020076">cutting 30,000 jobs</a> as it absorbs Merrill Lynch (NYSE: MER), three times as many as previously estimated, sources told CNBC, as BAC's CEO is trying to increase cost cuts. The majority of the layoffs are likely to come from Merrill's side of the business. BAC shares were 3% lower in premarket trade (7:59 am).<br /><br /><span style="font-weight: bold;">Constellation Energy Group Inc. (NYSE: <a href="http://finance.aol.com/quotes/constellation-energy-group-inc/ceg/nys">CEG</a>)</span> finds itself in the midst of a bidding war as Electricite de France SA, the world's biggest operator of atomic reactors and which owns 9.5%, <a href="http://www.bloomberg.com/apps/news?pid=20601087&amp;sid=aCxWDypnwnxA&amp;refer=home">offered to pay $4.5 billion</a> for half of CEG's nuclear business to expand in the U.S. CEG agreed earlier this year to be bought by Warren Buffett's Berkshire Hathaway Inc.'s MidAmerican Energy Holdings Co. for $4.7 billion. Energy-related companies are well represented again this week and expectations in general remain high.</p>
<p>Early in the week, analysts surveyed by Thomson Financial anticipate that the big earnings gainers will include <a href="http://finance.aol.com/quotes/eog-resources-inc/eog/nys">EOG Resources Inc.</a> (NYSE: <a href="http://finance.aol.com/quotes/eog-resources-inc/eog/nys">EOG</a>), <a href="http://finance.aol.com/quotes/anadarko-petroleum-corporation/apc/nys">Anadarko Petroleum Corp.</a> (NYSE: <a href="http://finance.aol.com/quotes/anadarko-petroleum-corporation/apc/nys">APC</a>), and <a href="http://finance.aol.com/quotes/cimarex-energy-co/xec/nys">Cimarex Energy Co.</a> (NYSE: <a href="http://finance.aol.com/quotes/cimarex-energy-co/xec/nys">XEC</a>), which are expected to post profits of $2.24 per share (up 64.7% from a year ago), $1.48 per share (up 52.7%) and $2.26 per share (up 61.1%) respectively. All three of them have offered positive surprises in recent quarters, and analysts on average recommend buying EOG and Anadarko. Other expected big earnings gainers early in the week include <a href="http://finance.aol.com/quotes/forest-oil-corporation/fst/nys">Forest Oil Corp.</a> (NYSE: <a href="http://finance.aol.com/quotes/forest-oil-corporation/fst/nys">FST</a>), <a href="http://finance.aol.com/quotes/pioneer-natural-resources-company/pxd/nys">Pioneer Natural Resources Co.</a> (NYSE: <a href="http://finance.aol.com/quotes/pioneer-natural-resources-company/pxd/nys">PXD</a>), <a href="http://finance.aol.com/quotes/comstock-resources-inc/crk/nys">Comstock Resources Inc.</a> (NYSE: <a href="http://finance.aol.com/quotes/comstock-resources-inc/crk/nys">CRK</a>), and <a href="http://finance.aol.com/quotes/mastercard-incorporated/ma/nys">MasterCard Inc.</a> (NYSE: <a href="http://finance.aol.com/quotes/mastercard-incorporated/ma/nys">MA</a>). The earnings of phosphates producer <a href="http://finance.aol.com/quotes/innophos-holdings-inc/iphs/nas">Innophos Holdings Inc.</a> (NASDAQ: <a href="http://finance.aol.com/quotes/innophos-holdings-inc/iphs/nas">IPHS</a>) are expected to have risen 92.3% to $3.37 per share. Innophos beat estimates in the previous quarter by a whopping 210%, and analysts have been impressed with <a href="http://www.reuters.com/article/marketsnews/idINBNG41737620081024?rpc=33">Innophos's lack of debt</a> and pricing gains despite the slowing economy, so, on average, they recommend buying IPHS.</p>
<p>Also early in the week, analysts expect <a href="http://finance.aol.com/quotes/the-goodyear-tire-and-rubber-company/gt/nys">Goodyear Tire &amp; Rubber Co.</a> (NYSE: <a href="http://finance.aol.com/quotes/the-goodyear-tire-and-rubber-company/gt/nys">GT</a>), <a href="http://finance.aol.com/quotes/kaiser-aluminum-corporation/kalu/nas">Kaiser Aluminum Corp.</a> (NASDAQ: <a href="http://finance.aol.com/quotes/kaiser-aluminum-corporation/kalu/nas">KALU</a>), and <a href="http://finance.aol.com/quotes/oshkosh-corporation/osk/nys">Oshkosh Corp.</a> (NYSE: <a href="http://finance.aol.com/quotes/oshkosh-corporation/osk/nys">OSK</a>) to report that their profits fell 52.9% to $0.33 per share, 45.1% to $0.67 per share, and 41.2% to $0.67 per share, respectively. These companies have tended to beat estimates in recent quarters, and the consensus recommendations of analysts are to buy them. However, <a href="http://finance.aol.com/quotes/the-pmi-group-inc/pmi/nys">PMI Group Inc.</a> (NYSE: <a href="http://finance.aol.com/quotes/the-pmi-group-inc/pmi/nys">PMI</a>), one of the largest private mortgage insurance providers in the U.S., is expected to take another hit as the housing slump drags on. The California-based company is expected to have widened its net loss from $1.04 per share a year ago to $2.43 per share in the most recent quarter. Why not? When <a href="http://finance.aol.com/quotes/ing-groep-n-v/ing/nys">ING</a> (NYSE: <a href="http://finance.aol.com/quotes/ing-groep-n-v/ing/nys">ING</a>) (<a href="http://find.thestreet.com/cgi-bin/texis/cramertake_free?site=tsc&amp;puc=aoljjc&amp;tkr=ING" target="blank">Cramer's Take</a>) looked like it was a disaster, giving $13 billion to that one-time conservative bank turned all of Europe around!  <br /><br />  Monday, when there was a moment that we looked weak, when it looked like we were going to go from plus 200 to below 100, Treasury let it be known that there is a whole other round of checks coming for the second-tier players. Who knows? Boom. That plus higher oil prices turned the market around in the upside-down world we are now in! Nuclear power has taken on an almost holy image in this country if the plants are already built because you simply can't afford to build new ones. NRG is one of the few utilities in the whole country that is trying to build plants, something that would be fabulous for Exelon and NRG's shareholders alike. He has kept his powder dry through all of this madness and suddenly, within one week, he has opened his coffers and picked up not one, but two multi-billion-dollar steals, <a href="http://finance.aol.com/quotes/constellation-energy-group-inc/ceg/nys">Constellation Energy</a> (NYSE: <a href="http://finance.aol.com/quotes/constellation-energy-group-inc/ceg/nys">CEG</a>) (<a href="http://find.thestreet.com/cgi-bin/texis/cramertake_free?site=tsc&amp;puc=aoljjc&amp;tkr=CEG" target="blank">Cramer's Take</a>) and <a href="http://finance.aol.com/quotes/the-goldman-sachs-group-inc/gs/nys">Goldman Sachs</a> (NYSE: <a href="http://finance.aol.com/quotes/the-goldman-sachs-group-inc/gs/nys">GS</a>) (<a href="http://find.thestreet.com/cgi-bin/texis/cramertake_free?site=tsc&amp;puc=aoljjc&amp;tkr=GS" target="blank">Cramer's Take</a>).  <br /><br />  These investments are the first sign that someone, some grown-up, is coming in from the sidelines, not because he has been talked into something that he doesn't want to do or understand -- which has been the case in all of the other bank financings -- but because he sees a delicious rate of return that will be hard to take away now that he has put his balance sheet to work, one of the last with any firepower to make a difference.  <br /><br />  First, Constellation. Here's a perfectly good utility that, because of its business model, needs capital to work. It made several miscues that brought it to its knees -- a business that is a regular, good generator of income gone bad because of financing. I have no idea how low it would have gone, but as long as it was intact, it was worth a lot more than it was selling for to someone who has financing, and that's what Buffett has in spades. Many companies are looking for cash infusions, and of course, are making calls to the dealmaking guru.</p>
<p>So, recently Buffett <a href="http://www.bloomberg.com/apps/news?pid=20601103&amp;sid=as6Ip7xSGfeg&amp;refer=news">reached a deal</a> to purchase <a href="http://finance.aol.com/quotes/constellation-energy-group-inc/ceg/nys">Constellation Energy Group</a> (NYSE: <a href="http://finance.aol.com/quotes/constellation-energy-group-inc/ceg/nys">CEG</a>), which operates a variety of energy assets such as nuclear power plants, for $4.7 billion. To do this deal, Buffett used his MidAmerican Energy Holdings Co. vehicle, of which <a href="http://finance.aol.com/quotes/berkshire-hathaway-inc-cl-a/brk.a/nys">Berkshire Hathaway</a> (NYSE: <a href="http://finance.aol.com/quotes/berkshire-hathaway-inc-cl-a/brk.a/nys">BRK.A</a>) owns 80.5% of the common stock.</p>
<p>As should be no surprise, Buffett wasn't the only player interested in the deal. In fact, KKR, TPG and Electricit&eacute; de France (EdF) made a bid for Constellation as well and were actually willing to offer 32% more. </p>
<p>But Constellation rejected the bid.</p>
<p>Not long ago this would have been an attractive bid, but in light of the credit crunch and botched deals, private equity firms have gotten a black eye.</p>
<p>Regulatory approval is also problematic, especially with the involvement of French based EdF. Although, Buffett has a track record as a long-term investor, which should allay fears.</p>
<p>Besides, Buffett quickly invested $1 billion into Constellation so as to stabilize things as the recent financial turmoil wreaked havoc on the company. In other words, he has a lot of leverage in this deal - even if rivals put together much higher bids.</p>

<ul>
    <li> Deutsche Bank downgraded shares of <a href="http://finance.aol.com/quotes/stanley-works-the/swk/nys">Stanley Works</a> (NYSE: <a href="http://finance.aol.com/quotes/stanley-works-the/swk/nys">SWK</a>) to Hold from Buy as they see risk to Q2 and FY08 earnings due to a slowdown in the European industrial and consumer categories. The firm lowered their target to $52 from $62. <br /></li>
    <li>Wachovia cut the Generic Drug sector to Market Weight from Overweight Wachovia sees near-term challenges for <a href="http://finance.aol.com/quotes/teva-pharmaceutical-industries-limited-american-depositary-shares/teva/nas">Teva Pharmaceutical</a> (NASDAQ: <a href="http://finance.aol.com/quotes/teva-pharmaceutical-industries-limited-american-depositary-shares/teva/nas">TEVA</a>), <a href="http://finance.aol.com/quotes/mylan-laboratories-inc/myl/nys">Mylan</a> (NYSE: <a href="http://finance.aol.com/quotes/mylan-laboratories-inc/myl/nys">MYL</a>) and <a href="http://finance.aol.com/quotes/watson-pharmaceuticals-inc/wpi/nys">Watson Pharmaceuticals</a> (NYSE: <a href="http://finance.aol.com/quotes/watson-pharmaceuticals-inc/wpi/nys">WPI</a>). The firm thinks Teva will become a very strong company over the long-term, following its takeover of <a href="http://finance.aol.com/quotes/barr-pharmaceuticals-inc/brl/nys">Barr</a> (NYSE: <a href="http://finance.aol.com/quotes/barr-pharmaceuticals-inc/brl/nys">BRL</a>). However, the firm adds that Teva will need to integrate the acquisition nearly perfectly, and Mylan may feel compelled to make another acquisition, even as it is still integrating Merck Generics, while Watson's growth prospects are still uncertain. <br /></li>
    <li>Oppenheimer downgraded <a href="http://finance.aol.com/quotes/fiserv-inc/fisv/nas">Fiserv</a> (NASDAQ: <a href="http://finance.aol.com/quotes/fiserv-inc/fisv/nas">FISV</a>) and <a href="http://finance.aol.com/quotes/fidelity-national-information-services-inc/fis/nys">Fidelity National</a> (NYSE: <a href="http://finance.aol.com/quotes/fidelity-national-information-services-inc/fis/nys">FIS</a>) to Perform from Outperform based on multiple pressure from the challenging banking environment and growth headwinds.</li>

    <li><a href="http://finance.aol.com/quotes/satyam-computer-services-limited/say/nys"> Satyam</a> (NYSE: <a href="http://finance.aol.com/quotes/satyam-computer-services-limited/say/nys">SAY</a>) was downgraded to Underperform from Outperform at Credit Suisse and Equal Weight from Overweight at Morgan Stanley. <br /></li>
    <li>UBS downgraded <a href="http://finance.aol.com/quotes/textron-inc/txt/nys">Textron</a> (NYSE: <a href="http://finance.aol.com/quotes/textron-inc/txt/nys">TXT</a>) to Neutral from Buy. <br /></li>
    <li><a href="http://finance.aol.com/quotes/constellation-energy-group-inc/ceg/nys">Constellation Energy</a> (NYSE: <a href="http://finance.aol.com/quotes/constellation-energy-group-inc/ceg/nys">CEG</a>) was downgraded at Jefferies to Underperform from Hold.</li>
