- JPMorgan upgraded Dollar Tree (DLTR) to neutral from underweight and $48 price target.
- Credit Suisse upgraded Time Warner Cable (TWC) to outperform from neutral and raised its price target to $70 from $59, citing growth in wireline HST demand.
- Needham upgraded NetScout (NTCT) to buy from hold with a $29 price target, citing channel checks that indicate industry spending on network monitoring software may be improving.
- Nstar (NST) was upgraded to buy from neutral at BofA/Merrill.
- Novo Nordisk (NVO) was upgraded to hold from sell at Societe Generale.

- Soleil upgraded Starwood Hotels (HOT) to buy from hold, citing accelerating RevPAR comps and valuation. The firm upped its target for shares to $57 from $55.
- TD Newcrest upgraded Ivanhoe Mines (IVN) to speculative buy from hold based on valuation.
- BMO Capital upgraded Power Integrations (POWI) and ON Semiconductor (ONNN) to outperform from market perform based on valuation. The firm has a $45 target on Power Integrations and a $9 target on ON Semiconductor.
- Priceline.com (PCLN) was upgraded to buy from neutral at Goldman.
- Reliance Steel (RS) was upgraded to buy from neutral at UBS.

Analyst Upgrades
- Deutsche Bank upgraded Murphy Oil (MUR) to buy from hold following the company's analyst day. In addition, the firm raised its target for shares to $70 from $59.
- SunTrust upgraded Petroleum Development (PETD) to buy from neutral based on higher price realizations. The firm has a $31 target on the stock.
- Sterne Agee upgraded P.F. Chang's (PFCB) to buy from neutral, citing valuation and SSS momentum. The firm has a $54 target on the stock.
- Royal Bank of Scotland (RBS) was upgraded to neutral from underperform at Credit Suisse.
- PepsiCo (PEP) was upgraded to conviction buy from buy at Goldman.
- Baytex Energy Trust (BTE) was upgraded to buy from speculative buy at Canaccord.
- Disney (DIS) was upgraded to hold from sell at Citigroup.

Analyst upgrades:
- Toll Brothers (NYSE: TOL) was upgraded to Buy at Citigroup. The firm views the recent sell-off in home building stocks as a buying opportunity and thinks Toll Brothers offers the best risk/reward in its coverage universe. Citi keeps a $23 price target on the stock.
- Kellogg (NYSE: K) was upgraded to Buy from Hold at Citigroup following the Q3 results, as it believes the company's reduced spending and share buyback will serve as catalysts. The firm raised its price target on shares to $63 from $50.
- Rogers Communications (NYSE: RCI) and Telus (NYSE: TU) were upgraded to Outperform from Sector Perform at RBC Capital, which said the CRTC unexpectedly denied Globalive's wireless application. The analyst said Globalive was potentially the biggest of new wireless competitors and the decision removes a big threat to the group. Rogers price target was raised to $40 from $33; Telus to $44 from $36.
- Stanley (NYSE: SXE) was upgraded at Wells Fargo to Outperform from Market Perform after the company reported better-than-expected Q3 results and raised its FY10 guidance.
- Texas Instruments (NYSE: TXN) was upgraded at Bernstein to Outperform from Market Perform. The analyst believes Texas Instruments' core business earnings power is underappreciated and valuation is attractive. Target raised to $30 from $28.

MOST NOTEWORTHY: Sanofi-Aventis (SNY), Dow Jones & Co (DJ) and AutoDesk, Inc (ADSK) were today's more notable downgrades:
- Sanofi-Aventis (NYSE: SNY) was downloaded from a multitude of companies after a U.S. FDA panel rejected the company's Zimulti weight-loss pill because the medicine was linked to suicides:
- To Hold from Buy at Societe Generale
- To Neutral from Outperform at BNP Paribas
- To Neutral from Overweight at JP Morgan and HSBC
- To Neutral from Buy at Merrill Lynch
- To Sell from Hold at ABN Amro
- Elsewhere, UBS cut Dow Jones & Co Inc (NYSE: DJ) to Reduce from Neutral as they believe there is no guarantee the controlling Bancroft family will accept News Corp's (NYSE: NWS) offer; they think another bid is unlikely given NWS's aggressive bid and cautions that shares could drop back to mid $30 range if the bid is not accepted.
- Autodesk Inc (NASDAQ: ADSK) was downgraded to Neutral from Buy at Goldman on valuation.
OTHER DOWNGRADES:
- Bear Stearns downgraded SLM Corp (NYSE: SLM) to Peer Perform from Outperform.
