The acquisition carries a total price tag of $1.6 billion, or $61 per share, which is a hefty 34% premium to Wednesday's close. The merger has been approved by JAS's board of directors after receiving a recommendation of a special committee that was made of independent directors. </p>
<p>JAS chairman and CEO Darrell Webb noted, "We are excited about the prospect of working with Leonard Green &amp; Partners as we further capitalize on opportunities to accelerate the expansion and upgrade of our stores and pursue market share gains. (<a class="inlinked" href="http://www.dailyfinance.com/quotes/brown-forman-corp-cl-b/bf.b/nys">BF.B</a>), National Semiconductor Corp. (<a class="inlinked" href="http://www.dailyfinance.com/quotes/national-semiconductor-corporation/nsm/nys">NSM</a>) and Pall Corp. (<a href="http://www.dailyfinance.com/quotes/pall-corporation/pll/nys">PLL</a>), which are expected to post earnings growth, as well as H&amp;R Block Inc. (<a class="inlinked" href="http://www.dailyfinance.com/quotes/block-h-and-r-inc/hrb/nys">HRB</a>) and Kroger Co. (<a class="inlinked" href="http://www.dailyfinance.com/quotes/kroger-co-the/kr/nys">KR</a>), which are not.</p>
<p>Most of the high expectations from analysts surveyed by Thomson Reuters are still with retailers this week, though. The <strong>Bank of Montreal</strong> (<a href="http://finance.aol.com/quotes/bank-montreal-que/bmo/nys">BMO</a>) did report <a href="http://www.canadianbusiness.com/markets/headline_news/article.jsp?content=b242665522&amp;utm_source=markets&amp;utm_medium=rss">strong fourth-quarter results</a> last week. This week, analysts surveyed by Thomson Reuters expect competitor <strong>Royal Bank of Canada</strong> (<a href="http://finance.aol.com/quotes/royal-bk-cda-montreal-que/ry/nys">RY</a>) to post modest earnings growth as well, while <strong>Canadian Imperial Bank of Commerce</strong> (<a href="http://finance.aol.com/quotes/canadian-imperial-bank-of-commerce/cm/nys">CM</a>) and <strong>Toronto Dominion Bank</strong> (<a href="http://finance.aol.com/quotes/the-toronto-dominion-bank/td/nys">TD</a>) are expected to post earnings declines.</p>
<p>Analysts are looking for $0.98 per share (+6.1%) earnings from RBC, $1.25 per share (-7.4%) from Toronto Dominion and $1.36 per share (-21.8%) from Canadian Imperial. The long-term EPS growth forecast for these three banks is for ranges from 10% and 12%, which is in the same ballpark as U.S. rivals Bank of America Corp. (<a href="http://finance.aol.com/quotes/bac/nys">BAC</a>) and Wells Fargo &amp; Co. (<a href="http://finance.aol.com/quotes/wells-fargo-and-company/wfc/nys">WFC</a>). Earnings multiples for these Canadian banks are 10x to 12x, but only Toronto Dominion has a First Call consensus recommendation of buy. The Motley Fool, though, recently commented on Royal Bank's <a href="http://www.fool.com/investing/value/2009/11/20/warren-buffett-is-a-growth-investor.aspx">steady income and reliability</a>. However, some retailers have posted better-than-expected earnings. Still, there are several economic reports due before the open that could sway sentiment either way, including revised GDP for the second quarter.<br />[<strong>Update:</strong> Futures turned positive after the report U.S. gross domestic product grew by 3.3% in the second quarter - much higher than previously stated.]<br /><br />U.S. jeweler Tiffany &amp; Co (NYSE: <a href="http://finance.aol.com/quotes/tiffany-and-company/tif/nys">TIF</a>) posted <a href="http://news.moneycentral.msn.com/provider/providerarticle.aspx?feed=AP&amp;date=20080828&amp;id=9075882">double the quarterly profit</a> from a year ago on Thursday, benefiting from strong international sales and solid tourist spending at its New York flagship store. Net profit was $80.8 million, or 63 cents per share, in its fiscal second quarter, up from $40.5 million, or 29 cents per share a year earlier, and beating estimates of 55 cents per share. Revenue grew 11%. Tiffany also <a href="http://money.aol.com/news/articles/qp/ap/_a/tiffany-raises-outlook-for-2008-earnings/rfid134759971?channel=%22pf%22">raised its 2008 profit outlook</a> on strong sales in Europe and Asia and expected improvement in the U.S. TIF shares are up over 6% in premarket trading.<br /><br />On the other hand, department store retailer Sears Holdings (NASDAQ: <a href="http://finance.aol.com/quotes/sears-holdings-corporation/shld/nas">SHLD</a>) reported a <a href="http://www.bloomberg.com/apps/news?pid=20601087&amp;sid=a.al6p486OSg&amp;refer=home">62% plunge in second-quarter net profit</a> to $65 million, or 50 cents per share. Excluding a gain, Sears earned 21 cents, trailing some analysts' estimates by 15 cents. Chief Executive Bruce Johnson <a href="http://money.aol.com/news/articles/qp/pr/_a/sears-holdings-reports-second-quarter/rfid134736901">said</a> the results were affected by the "slowing economy." It seems some, though, still have confidence in Chairman Lampert.<br /><br />Fannie Mae (NYSE: <a href="http://finance.aol.com/quotes/federal-national-mortgage-association/fnm/nys">FNM</a>), the mortgage finance giant, <a href="http://money.aol.com/news/articles/_a/bbdp/fannie-mae-shakes-up-management-team/151150">shook up its executive ranks</a> Wednesday. "Its chief financial officer and two other top executives are leaving the company. Three current executives were promoted to replace them." CEO Mudd kept his job. Shares of Fannie and sibling Freddie Mac (NYSE: <a href="http://finance.aol.com/quotes/federal-home-loan-mortgage-corporation/fre/nys">FRE</a>) have been rising after concern over a government bailout lessened. Among its staple items are fabrics, notions, frames, paper crafting materials, artificial and dried flowers, home accents and finished seasonal goods. <p>Jo-Ann Stores made the news last week, on word it is the subject of serious acquisition interest. According to TheDeal.com, the firm would probably be taken private at a premium to its current share price. Bids were said to be due this month. A Hudson, Ohio firm has been on the cutting edge of the metamorphosis.</p>
<p>Jo-Ann Stores Inc. (NYSE:<a href="http://finance.aol.com/quotes/jo-ann-stores-inc/jas/nys">JAS</a>) is the nation's leading fabric retailer, offering a range of merchandise used in sewing, crafting and home decorating projects. Among its staple items are fabrics, notions, frames, paper crafting materials, artificial and dried flowers, home accents and finished seasonal goods. The company operates 627 Jo-Ann Fabric and Craft stores and 173 Jo-Ann superstores, in 47 states.</p>
<p>The firm pleased the Street earlier in the week, when it announced solid Q4 results and issued FY08 EPS guidance well<img vspace="4" hspace="4" border="1" align="right" src="http://www.blogcdn.com/www.bloggingstocks.com/media/2007/03/jas03162007.gif" alt="" /> above Wall Street views. Management expects positive same-store sales for FY08, as well as continued margin improvement. The JAS price popped through 30-day and 50-day moving average resistance on the news and has since been defining a bullish "flag" consolidation pattern. Stocks frequently exit flags moving in the same direction they were traveling when they entered them. In this case, that would be to the upside.</p>
<p>Brokers recommend the issue with three "holds". Analysts see a 75% growth rate, through the next year. The stock's Price to Sales ratio (0.34), Price to Book ratio (1.55), Price to Cash Flow ratio (13.71) and EPS Growth rate (169.23%) compare favorably with industry, sector and S&amp;P 500 averages.</p>
<p>Institutional investors hold about 83% of the outstanding shares. The stock is one of those used to calculate the S&amp;P 600 SmallCap Index. Over the past 52 weeks, it has traded between $11.95 and $26.95. A stop-loss of $21.35 looks good here.</p>
