Real Ugly. That is all you need to know about why the market went so south today. You had a reading of 500,000 again on the weekly jobless claims, then a lower than expected leading indicators number, then a negative reading from Philadelphia's Federal Reserve on business conditions. A strong day of mergers and acquisitions can't overcome that. Oddly enough, many companies that had positive news were still able to close up despite such negative tape. <br />

During the fourth quarter, NTAP earned 40 cents per share, 19 cents better than last year's fourth-quarter results. Adjusted income was 50 cents per share, which topped the consensus estimate by six cents. Quarterly revenue increased to $1.17 billion, handily besting the consensus estimate of $1.08 billion. <br />

The company attributed the earnings windfall to "sever virtualization and cloud-computing trends," which drove "significant business." The firm's "competitive advantages in those areas lead more customers to choose NetApp storage efficiency solutions for larger and larger data center projects."     <li>JPMorgan upgraded Anadarko Petroleum (<a href="http://www.dailyfinance.com/quotes/anadarko-petroleum-corporation/apc/nys">APC</a>) to overweight from neutral on valuation as it views the recent pullback in shares as excessive. Despite upgrading, the firm lowered its target for shares to $82 from $90.</li>
    <li>Oppenheimer upgraded Office Depot (<a href="http://www.dailyfinance.com/quotes/office-depot-inc/odp/nys">ODP</a>) to perform from underperform and upped its target for shares to $7 from $3 after raising its estimates for companies in the Office Products Retail space. The firm expects trends to accelerate for the sector due to moderating unemployment pressures. In conjunction with the upgrade, Opco raised its target for OfficeMax (<a href="http://www.dailyfinance.com/quotes/officemax-incorporated/omx/nys">OMX</a>) to $26 from $21 and target for Staples (<a href="http://www.dailyfinance.com/quotes/staples-inc/spls/nas">SPLS</a>) to $30 from $28. Both stocks remain outperform rated.</li>
    <li>C.K. Cooper upgraded iRobot (<a href="http://www.dailyfinance.com/quotes/irobot-corporation/irbt/nas">IRBT</a>) to buy from hold with a $30 price target following the company's analyst day.</li>
    <li>Seadrill (<a href="http://www.dailyfinance.com/quotes/seadrill-limited-ordinary-shares-bermuda/sdrl/nys">SDRL</a>) was upgraded to buy from hold at Jefferies.</li>

    <li>Deutsche Bank upgraded Research in Motion (<a href="http://www.dailyfinance.com/quotes/research-in-motion-limited/rimm/nas">RIMM</a>) to hold from sell to reflect the company's Q3 results and guidance. The firm raised its target price on shares to $75 from $60. </li>
    <li>Keefe Bruyette upgraded Northern Trust (<a href="http://www.dailyfinance.com/quotes/northern-trust-corporation/ntrs/nas">NTRS</a>) and State Street (<a href="http://finance.aol.com/quotes/state-street-corporation/stt/nys">STT</a>) to outperform from market perform to reflect valuation and favorable longer-term secular trends. The firm keeps a $58 price target on Northern Trust and a $51 target on State Street. </li>
    <li>UBS upgraded Universal Health (<a href="http://www.dailyfinance.com/quotes/universal-health-services-inc/uhs/nys">UHS</a>) to buy from neutral and raised its target to $38 from $31. The firm said hospital checks indicate bad debt has not increased vs. Q3 and that Universal Health should report an in-line to better-than-expected Q4. </li>
    <li>Take-Two Interactive (<a href="http://www.dailyfinance.com/quotes/take-two-interactive-software-inc/ttwo/nas">TTWO</a>) was upgraded to hold from sell at Kaufman Bros. </li>
    <li>Whiting Petroleum (<a href="http://www.dailyfinance.com/quotes/whiting-petroleum-corporation/wll/nys">WLL</a>) was raised to outperform from market perform at Wells Fargo. </li>

The company raked in <a href="http://www.marketwatch.com/story/netapp-earnings-surge-on-strong-equipment-sales-2009-11-18">27 cents per share</a> during the quarter, compared to 13 cents per share a year ago. Excluding items, the tech firm would have pulled in 37 cents per share. Expectations called for earnings of 30 cents per share on revenue of $881.6 million. Actual revenue came in at $910 million, handily topping the consensus estimate.<br /><br />NTAP's CFO, Steve Gomo, attributed the far better-than-expected earnings to improved sales of the company's main storage-area-networking. The data deduplication company has been the target of two rival bidders: <a href="http://finance.aol.com/quotes/netapp-inc/ntap/nas">NetApp</a> (NASDAQ: <a href="http://finance.aol.com/quotes/netapp-inc/ntap/nas">NTAP</a>) and <a href="http://finance.aol.com/quotes/emc-corporation-mass/emc/nys">EMC</a> (NYSE: <a href="http://finance.aol.com/quotes/emc-corporation-mass/emc/nys">EMC</a>).</p>
<p>Well, today the wrangling stopped -- with EMC as the victor. Data Domain shares gained 16% on the news in late trading yesterday, resulting in EMC's bid carrying a 17% premium. </p>
<p>EMC sees Data Domain as its ticket into the market for software-based storage management, as the target company's products help reduce the amount of disk space needed to store data. With large, high-profile clients like <a href="http://finance.aol.com/quotes/atandt-inc/att/nys" target="_blank">AT&amp;T Inc.</a> (NYSE: <a href="http://finance.aol.com/quotes/atandt-inc/att/nys" target="_blank">T</a>) and the U.S. Defense Department, Data Domain was able to double its top line to $274 million in 2008.
