(C)</a></p><p>If we needed another sign that private equity is passe, we need go no further than to look at the current issue of <em><a href="http://money.cnn.com/2008/05/13/magazines/fortune/mehta_biggest_deal_ever.fortune/index.htm?postversion=2008051908">Fortune</a></em>, which shares a parent, <strong><a href="http://finance.aol.com/quotes/time-warner-inc/twx/nys">Time Warner Inc.</a></strong> (NYSE: <a href="http://finance.aol.com/quotes/time-warner-inc/twx/nys">TWX</a>), with BloggingStocks. To be fair, <em>Fortune</em> added an update to its web site about the tottering deal. It's a shame because the <em>Fortune</em> article paints such a glowing portrait of<a href="http://www.bloggingbuyouts.com/providence-equity-partners/"> Providence Equity Partner's</a> CEO Jonathan Nelson and praises him for doing the biggest deal ever -- the $51 billion takeover of Bell Canada parent BCE (NYSE: <a href="http://finance.aol.com/quotes/bce-incorporated/bce/nys">BCE</a>) whose stock is down 5.7% this morning.</p>
<p>Regrettably for Nelson and <em>Fortune</em>, the <em><a href="http://www.nytimes.com/2008/05/19/business/worldbusiness/19deal.html?ref=business">New York Times</a></em> reports this morning that the deal looks to be imperiled. It quotes one executive who read the revised bank terms: "It's patently obvious that the banks have no intention of closing the deal." These banks -- led by <a href="http://finance.aol.com/quotes/citigroup-incorporated/c/nys"><font color="#0072bc"><strong>Citigroup Inc.</strong></font></a> (NYSE:<a href="http://finance.aol.com/quotes/citigroup-incorporated/c/nys"><font color="#0072bc"> C</font></a>), Deutsche Bank, and the Royal Bank of Scotland -- sent revised terms to the consortium of buyers. which included higher interest rates, tighter loan restrictions and stronger protections for the banks, far exceeding the original terms.</p>
<p><em>Fortune</em> has a photo of Nelson sitting in a comfortable chair with his hands in a position that communicates "I am smarter than you." It will be interesting to see whether he can use those smarts to close this $51 billion deal. If he does, then he will certainly deserve the encomiums that <em>Fortune</em> heaps on him. <a href="http://www.truveo.com/Private-Equity-Peak/id/1740148129">Fifteen months ago</a> I appeared on CNBC to discuss whether private equity had peaked. I think <em>Fortune</em>'s Private Money 2008 package answers that question in the affirmative -- with the cover story jinx. </p>

Last week, <a href="http://finance.aol.com/quotes/ubs-ag-new/ubs/nys">UBS</a> (NYSE: <a href="http://finance.aol.com/quotes/ubs-ag-new/ubs/nys">UBS</a>) wrote off about $19 billion, and today we have <a href="http://money.aol.com/news/articles/_a/rbs-reveals-another-12-billion-in-losses/20080422071209990001">news</a> that <a href="http://finance.aol.com/quotes/the-royal-bank-of-scotland-group-plc/rbs/nys">Royal Bank of Scotland</a> (NYSE: <a href="http://finance.aol.com/quotes/the-royal-bank-of-scotland-group-plc/rbs/nys">RBS</a>) suffered an $11.7 billion loss. We haven't seen numbers like that in the U.S. and this may be a story that needs to get more play. The European banking system is in far worse shape than the banks on our side of the Atlantic, and the impact that will have on global growth should not be underestimated. </p>
<p>Keep in mind that nothing like the FDIC or SIPC exists in Europe, so a major bank failure could be catastrophic for consumers. Banks have started tightening credit, and the once red-hot real estate sector has cooled, especially in places like Poland. Shares surged upwards to the tune of 7.3% on news that the U.K.'s second-largest bank expects operating profit and earnings per share to be "well ahead" of the market consensus.<br /><br /><a href="http://www.bloggingstocks.com/2007/12/05/mortgage-meltdown-spills-into-europe/">I wrote yesterday </a>about the U.K.'s real fear that the subprime meltdown that the U.S. is experiencing may rear its ugly head in the U.K. throughout 2008. RBS' relatively cheery (actually, just not as bad as everyone was predicting) forecast relieved some of the stress on the financial industry this morning. <br /><br />In the same article, <em>Marketwatch </em>reported that RBS said "Credit market troubles in the second half of the year are expected to result in write-downs of 950 million pounds ($1.96 billion) on its exposure to subprime mortgages, which was lower than many analysts had forecast." So, with rising interest rates and competitive pricing on buyouts, are we seeing problems starting to brew?<br /><br />Perhaps so. According to a <a href="http://business.guardian.co.uk/story/0,,2095780,00.html?gusrc=rss&amp;feed=24">report</a> from the Guardian Unlimited, the CEO of <a href="http://www.rbs.com">Royal Bank of Scotland</a>, Sir Fred Goodwin, said banks need to be more cautious.<br /><br />In a typical buyout deal, a group of banks usually syndicate buyout debt load to many players. It's a way to minimize the risk exposure.<br /><br />But Goodwin thinks this is a bad idea. If banks want to get rid of the debt, shouldn't this be a red flag to investors? "We shouldn't do deals unless we were comfortable holding the credit ourselves. I think the market is getting quite toppish," said Sir Fred.<br /><br />I think he has a good point.<br /><br />The irony, of course, is that RBS is trying to buyout <a href="http://www.abnamro.com">Amro</a>. <p>The offer contemplates breaking the big bank into pieces. Banking companies Fortis and Santander are part of the purchase group and will sell shares to finance the deal. </p>
<p>The three banks would split ABN into several pieces with each of the purchasers taking the operations that best dovetail with their current businesses.</p>
<p>The dismembering of the Dutch bank may be the key to the higher bid. While Barclays would have kept most of ABN intact and perhaps sold off the US La Salle portion of the company, the three banks offering to buy ABN now believe that they can get economies of scale by matching pieces to their own operations. Their thinking is that this will allow them to take out more costs than if the bank was sold intact.</p>

That was going to finance $21 billion worth of the "record international bank merger" transaction. Since Royal Bank of Scotland (plus Santander and Fortis in the group) has joined in the bidding at a slightly higher price, the second offer is only "inclusive of LaSalle Bank." <br /><br />The consortium may or may not keep LaSalle Bank in the long run, but it should at least consider the value. Under no circumstances should Bank of America be automatically assumed as the automatic winner, or at least not at the proposed price tag. The "for sale" sign is in the window at LaSalle Bank, so why not see who would be interested. A break-up fee of $200 million would be due to Bank of America if the deal changes. For such a large transaction that is not the end of the world. $200 million just isn't what it used to be. <br /><br />So, who would step up to the plate outside of Bank of America? The two most obvious names inside the US are <a href="http://finance.aol.com/quotes/jpmorgan-chase-and-co/jpm/nys?tabs=quotesandnews">JPMorgan Chase &amp; Co.</a> (NYSE:<a href="http://finance.aol.com/quotes/jpmorgan-chase-and-co/jpm/nys?tabs=quotesandnews">JPM</a>) and <a href="http://finance.aol.com/quotes/wachovia-corporation/wb/nys?tabs=quotesandnews">Wachovia Corp</a>. (NYSE:<a href="http://finance.aol.com/quotes/wachovia-corporation/wb/nys?tabs=quotesandnews">WB</a>).
