Founded in 1999, Shutterfly (SFLY) is a dot-com survivor. In fact, the value of this photo site is now about $1.2 billion.
So why not pull off a big deal? Well, this week, Shutterfly agreed to pay $333 million for Tiny Prints. The transaction is a blend of stock and cash.
Founded in 2004, Tiny Prints operates two main websites: Tiny Prints and Wedding Paper Divas. They essentially provide personalized stationary, photo books and invitations. Moreover, the company has been effective in integrating with Facebook.

"Digital cameras have changed the world of photography; one beneficiary is Shutterfly (SFLY), which has succeeded by allowing photographers to share those digital snaps and plaster them onto on all kinds of merchandise," says Mike Cintolo.
The editor of Cabot Top Ten Weekly explains, "When the company was founded back in 1999, its main business was just providing a place for customers to store and share digital photos.
"The company allows photographers to put photos on greeting cards, into photo books, onto calendars, mouse pads and mugs among hundreds of uses. And this new emphasis has re-energized the company's image.

- Keefe Bruyette upgraded Bank of Marin (BMRC) to Outperform from Market Perform with a $40 price target following the company's Q2 results.
- BHP Billiton (BHP) was upgraded to Overweight from Equal Weight at Barclays.
- PPG Industries (PPG) was upgraded to Overweight from Equal Weight at Morgan Stanley.

Analyst Upgrades
- Stephens upgraded Martin Marietta (MLM) to overweight from equal weight on valuation and expectations that infrastructure and highway spending will increase. The firm raised its target on shares to $105 from $95.
- Janney Montgomery upgraded Shutterfly (SFLY) to buy from neutral to reflect valuation and a reduced pricing overhang after Kodak (EK) raised its 4x6 prices. The firm raised its target on shares to $21 from $18.
- Thomas Weisel upgraded Entropic Communications (ENTR) to overweight from market weight. The firm thinks the company is well-positioned for revenue growth in 2010, partly due to MoCA deployments from new customers and design wins for its silicon tuner product. The firm set a $5 target.
- T. Rowe Price (TROW) was upgraded to buy from hold at Jefferies.
- Dick's Sporting Goods (DKS) was upgraded to buy from neutral at BofA/Merrill.
- Massey Energy (MEE) was upgraded to overweight from neutral at JPMorgan.

Some investors shy away from small stocks, thinking they are too volatile and risky. But BusinessWeek takes a look at such stocks and finds some that could offer a lot of potential for growth.
It can be hard to find small companies that have great growth potential. Since most Wall Street analysts ignore smaller companies, it is often tough for investors to find the research that they need in their selection process, so they have to rely on their own research in order to find that perfect small cap stock.
One thing to look for when examining small cap stocks is a long and established track record. The downside to this approach is that these stocks are not going to be the next "big thing" and bring you huge profits in the short run. These stocks are the ones that typically serve a niche market, and perform that service successfully. While these will not make you rich overnight, they are fairly reliable companies you can look to for nice and steady returns. If you are the type of investor who likes to buy and hold, these are the small cap stocks for you.

MOST NOTEWORTHY: Airline stocks, LDK Solar and AU Optronics were today's noteworthy upgrades:
- UBS upgraded legacy airline stocks based on the recent pullback in the group. The firm upgraded Continental Airlines (NYSE: CAL) and Delta (NYSE: DAL) to Buy from Neutral and AMR Corp. (NYSE: AMR) to Neutral from Sell.
- CIBC upgraded shares of LDK Solar (NYSE: LDK) to Sector Performer from Sector Underperformer following a meeting with management as they have greater visibility on polysilicon supply for 2008 as well as comfort that average sales price declines will be lower than previously expected in 2009.
- Lehman upgraded shares of AU Optronics (NYSE: AUO) to Overweight from Equal Weight after raising the Asia Display industry to Positive from Neutral.
OTHER UPGRADES:

MOST NOTEWORTHY: Shutterfly, Drugstore.com, S.Y. Bancorp and Stericycle were today's noteworthy initiations:
- Oppenheimer started shares of Shutterfly Inc (NASDAQ: SFLY) with a Buy rating and $42 target. The firm believes secular growth in digital photography and increasing adoption of user generated print publishing will drive EBITDA growth of 30%-40% over the next 2-3 years.
- Oppenheimer also initiated Drugstore.com Inc (NASDAQ: DSCM) with a Buy rating and $5 target, as they expect growth in the company's higher margin beauty segment could drive EBITDA above consensus estimates.
- Baird is positive on S.Y. Bancorp Inc's (NASDAQ: SYBT) valuation, capital-rich balance sheet, and top-tier profitability and resumed coverage with an Outperform rating.
