While no fundamentals have changed significantly, on the contrary, GDP and inflation numbers were surprised on the upside, it was the <a href="http://www.marketwatch.com/news/story/us-stocks-fall-further-next/story.aspx?guid=%7BD8D87106%2D1B7D%2D41A2%2DAF14%2D0CA8173A269B%7D">continued credit crunch problems</a> that caused investors to worry about deal making going forward.<br /><br />This morning, however, futures got a boost from <a href="http://www.bloomberg.com/apps/news?pid=20601087&amp;sid=abiFlLkI6ews&amp;refer=home">international markets</a>. <strong>Asian </strong>markets finished <a href="http://money.aol.com/news/articles/_a/asian-markets-bounce-back/n20070730055109990002">mostly higher</a> and <strong>European </strong>shares at first made <a href="http://www.marketwatch.com/news/story/european-shares-make-modest-gains/story.aspx?guid=%7B1A9171AD%2D6D31%2D4705%2D8C56%2D2A2636CFEEF7%7D">modest gains</a> on Monday morning following several announced deals. European shares have changed direction and are now back in negative territory though.<br /><br />While there are no <strong>economic reading</strong> today, this week will see <a href="http://www.marketwatch.com/news/story/healthy-jobs-data-may-soothe/story.aspx?guid=%7B22C62ABA%2D65BC%2D45DE%2D8585%2D9F51A0909E20%7D">several</a>, including jobs report, inflation indicators and personal income and spending among others.<br /><br />In corporate news, <strong>ABN Amro</strong> Holding NV (NYSE: <a href="http://finance.aol.com/quotes/abn-amro-holdings-n-v/abn/nys?tabs=quotesandnews">ABN</a>) <a href="http://money.aol.com/news/articles/_a/abn-drops-support-for-barclays-bid/n20070730072009990002">dropped its support</a> for a takeover offer by Barclays PLC (NYSE: BCS). (NYSE: IHP) said it <a href="http://money.aol.com/news/articles/_a/ihop-buying-applebees-in-21-billion-deal/20070716065809990001">would acquire fellow Applebee's</a> International Inc. (NASDAQ: APPB) for about $1.9 billion in cash or $25.50 per share of Applebee's. The two sides pegged the total value of the deal at $2.1 billion.<br /><br /><strong>Vodafone </strong>Group Plc (NYSE: VOD) is considering a <a href="http://money.aol.com/news/articles/_a/vodafone-said-mulling-verizon-bid/n20070716070209990001">$160 billion takeover bid for Verizon</a> Communications Inc. The bid is already slightly higher than the one made by <a href="http://finance.aol.com/quotes/barclays-plc-adr/bcs/nys">Barclays</a> (NYSE: <a href="http://finance.aol.com/quotes/barclays-plc-adr/bcs/nys">BCS</a>).</p>
<p>In many ways the Royal Bank bid makes more sense. It has teamed with Spanish bank Santander and Dutch financial firm Fortis, and they plan to break ABN into parts with each company taking the units that best match its operations and geography.</p>
<p>If the RBS bid is successful it could put other large banks in Europe and North America into play just as the industry may be facing a period of earnings problems led by mortgage quality problems and slower private equity deal flow. </p>
<p>Merging banks into the teeth of a slowdown may actually make sense. Combined banks could save money with eliminating back office and duplicate personnel. But, if the downturn is as sharp as the one in the late 1980s, it may not matter.</p>

The offer of $95.6 billion tops that of <a href="http://finance.aol.com/quotes/barclays-plc-ads/bcs/nys">Barclays</a> (NYSE: <a href="http://finance.aol.com/quotes/barclays-plc-ads/bcs/nys">BCS</a>).</p>
<p>The offer contemplates breaking the big bank into pieces. Banking companies Fortis and Santander are part of the purchase group and will sell shares to finance the deal. </p>
<p>The three banks would split ABN into several pieces with each of the purchasers taking the operations that best dovetail with their current businesses.</p>
<p>The dismembering of the Dutch bank may be the key to the higher bid. While Barclays would have kept most of ABN intact and perhaps sold off the US La Salle portion of the company, the three banks offering to buy ABN now believe that they can get economies of scale by matching pieces to their own operations. Their thinking is that this will allow them to take out more costs than if the bank was sold intact.</p>

This week will be full of <strong>economic data</strong> including housing data, non-farm payroll, GDP and housing indicators.<br />Today, the Conference Board will release its May consumer confidence, which is expected to tick up from last month.<br /><br /><strong>Overseas</strong>, Asian stocks closed mostly higher and <a href="http://www.bloomberg.com/apps/news?pid=20601087&amp;sid=aPx.qSp030Y4&amp;refer=home">European stocks climbed</a> for the first time in three days after a <a href="http://www.bloomberg.com/apps/news?pid=20601087&amp;sid=af1AQODMYbnE&amp;refer=home">sales forecast</a> from Vodafone Group Plc lifted phone companies.<br /><br />Most of the buzz this morning is in the form of <strong>M&amp;A news</strong>:<br /><br />A consortium led by Royal Bank of Scotland launched a &euro;71.1 billion $95.5 billion) <a href="http://www.marketwatch.com/news/story/rbs-group-offering-more-cash/story.aspx?guid=%7B5FDC91F1%2DEAD7%2D41DE%2DBE62%2DAE59535628FE%7D">offer</a> for <a href="http://finance.aol.com/quotes/abn-amro-holdings-n-v/abn/nys">ABN Amro</a> (NYSE: <a href="http://finance.aol.com/quotes/abn-amro-holdings-n-v/abn/nys">ABN</a>). Yesterday it was media deals, stronger-than-expected factory data and Time Warner earnings among other factors that helped stocks push higher.<br /><br /><strong>Today</strong>, General Motors Corp. (NYSE: <a href="http://finance.aol.com/quotes/general-motors-corporation/gm/nys">GM</a>) is expected to report a loss of 87 cents before the opening bell sounds on Wall Street. Strong performance at GM could change the sentiment on the Street. Starbucks Corp. (NASDAQ: <a href="http://finance.aol.com/quotes/starbucks-corporation/sbux/nas">SBUX</a>) is due to report after the close.<br /><br />While awaiting labor report tomorrow, investors will have some more <strong>economic data</strong> to chew on:<br />

    <li>At 8:30 a.m., first quarter productivity will be reported and is estimated to have risen 0.8% the past quarter after a 1.6% increase in the previous quarter.</li>
    <li>Also at 8:30, weekly jobs claims is due.</li>

UBS AG (NYSE: <a href="http://finance.aol.com/quotes/ubs-ag-new/ubs/nys">UBS</a>), and Bayerische Motoren Werke AG (BMW) reported earnings that missed analysts' estimates. Shares at Unilever (NYSE: <a href="http://finance.aol.com/quotes/unilever-plc-amer/ul/nys">UL</a>) and Royal Dutch Shell Plc (NYSE: <a href="http://finance.aol.com/quotes/royal-dutch-shell-plc-cl-a/rds.a/nys">RDS</a>) were up after reporting better-than-expected earnings.<br /><br />Some <strong>corporate news</strong>:<br />After Swiss bank UBS reported its third lower quarterly profits, it announced the <a href="http://news.aol.com/topnews/articles/_a/ubs-winding-up-hedge-fund-after-q1/n20070503065509990001">closure of its Dillon Read hedge fund</a> arm, which was hit by losses in the U.S. subprime mortgage market. Shares dropped over 4% in Europe.<br /><br /><a href="http://news.aol.com/topnews/articles/_a/dutch-court-to-decide-on-abn-lasalle/n20070503050409990004">Dutch courts will decide</a> today if ABN AMRO (NYSE: <a href="http://finance.aol.com/quotes/abn-amro-holdings-n-v/abn/nys">ABN</a>) could sell its LaSalle arm to Bank of America (NYSE: <a href="http://finance.aol.com/quotes/bank-of-america-corporation/bac/nys">BAC</a>).
