Futures on the Dow Jones Industrial Average dropped 43 points to 11,378.00 and S&amp;P 500 futures lost 5.50 points to 1,231.30. Nasdaq 100 futures dipped 9.50 points to 2,204.50.</p>

<p>Goldman Sachs recently said they expect more M&amp;A activity in pharmaceutical and that Allergan is a prime candidate for a takeover. Sanofi-Aventis (<a class="inlinked" href="http://www.dailyfinance.com/quotes/sanofi-aventis-sa/sny/nys">SNY</a>) and Eli Lilly &amp; Co. (<a class="inlinked" href="http://www.dailyfinance.com/quotes/eli-lilly-and-company/lly/nys">LLY</a>) are two companies analysts are speculating may be interested in acquiring Allergan.</p>

Upon consummation of the purchase, Novartis would own an approximate 77% interest in Alcon. </p>
<p>Alcon also announced that Novartis had submitted a proposal to the Alcon Board of Directors relating to the remaining approximate 23% publicly-held minority interest pursuant to which Alcon would merge with and into Novartis under Swiss merger law and minority holders of publicly held shares would receive 2.8 Novartis shares for each of Alcon's publicly traded shares. The first stage appears to be a purchase of a 25% stake in Alcon for around $11 billion. This purchase comes with an option to purchase an additional 52% stake for about $28 billion.<br /><br />Novartis will pay $143.18 a share for the purchase of the 25% stake.
