After the first two days of gains that Wall Street had in a few weeks, a third day looks unlikely. <br /><br />[<strong>Update:</strong> A <a href="http://money.aol.com/news/articles/_a/bbdp/retail-sales-dip-01-percent-in-february/370888">surprising retail sales</a> report, with a lower decline than expected, has futures mixed at this time. <a href="http://money.aol.com/news/articles/_a/bbdp/new-jobless-claims-rise-more-than/379003">Jobless claims</a>, however, rose more than expected.]<br /><br /><a href="http://money.aol.com/news/articles/_a/bbdp/world-markets-stall-amid-resurgent/298250">Stocks overseas stalled</a> after the World Bank predicted --ahead of the G20 finance ministers meeting -- the <a href="http://www.cnbc.com/id/29648337">global economy might shrink 1-2%</a> this year. <p>Just as President Obama lifted the executive order banning the use of embryonic stem cells for research, Roche and <a href="http://finance.aol.com/quotes/genentech-inc/dna/nys">Genentech</a> (NYSE: <a href="http://finance.aol.com/quotes/genentech-inc/dna/nys">DNA</a>) appear to have reached an agreement on <a href="http://www.bloggingstocks.com/2009/01/14/dont-sell-your-genentech-dna-stock-just-yet/">Roche's bid</a> to acquire the 44% of DNA that Roche does not currently own. </p>
<p>Shares of biotech companies engaged in stem cell protocols rallied after the Obama announcement. Reports from the <span style="font-style: italic;">Wall Street Journal</span> suggest that the two companies <a href="http://online.wsj.com/article/BT-CO-20090310-703926.html?mod=wsjcrmain">may have been close to a deal Monday</a> afternoon, with timing and closing conditions yet to be agreed upon. In fact, the <span style="font-style: italic;">Journal </span>noted that these terms could cause the deal to fall apart. <br /><br />Roche is offering $95 per share for the remaining Genentech's shares, up from Friday's offer of $93 per share, which was already higher than the earlier offer of $86.50 per share. Reportedly, Genentech's board has pegged the company's worth at $112 per share. As investors await Federal Reserve Chairman Bernanke's comments, there were some positive signs from the banking sector and on the deals front.<br /><br /><a href="http://finance.aol.com/quotes/citigroup-incorporated/c/nys">Citigroup</a> (NYSE:<a href="http://finance.aol.com/quotes/citigroup-incorporated/c/nys">C</a>)'s Pandit said the bank was profitable during the first two months of the year. Also, <a href="http://finance.aol.com/quotes/the-dow-chemical-company/dow/nys">Dow Chemical</a> (NYSE: <a href="http://finance.aol.com/quotes/the-dow-chemical-company/dow/nys">DOW</a>) decided tentatively to go ahead with its acquisition of <a href="http://finance.aol.com/quotes/rohm-and-haas-company/roh/nys">Rohm &amp; Hass</a> (NYSE: <a href="http://finance.aol.com/quotes/rohm-and-haas-company/roh/nys">ROH</a>) after all. Interestingly enough, the 8.1% <a href="http://247wallst.com/2009/03/06/double-digit-unemployment-looks-more-more-likely/">unemployment rate</a> ended up moving the market up briefly, but only briefly. Most of the day was spent in red numbers with a rally that brought the markets back to a flat close. <br /></p>
<p>The focus is still on what is coming out of Washington D.C. and just how long and how deep this recession is going to be. <br /></p>

Roche launched a hostile cash tender offer of $86.50 for DNA after DNA's board rejected Roche's $89 cash bid to buy the balance of the 44% of DNA it does not own. Roche recently sold $16 billion of bonds to finance its takeover of DNA. DNA is expected to receive final results of the adjuvant colorectal trial for Avastin (NSABP C-08) as early as mid-April 2009. DNA March option implied volatility is at 33; June is at 38; below its 26-week average of 40, according to Track Data, suggesting decreasing price movement.</p>

The online retailer's fourth-quarter profit rose 9% to $225 million, or 52 cents per share, trouncing expectations of 39 cents per share. Revenue rose 18% to $6.7 billion, again exceeding analyst estimates for $6.4 billion. Even for the current quarter Amazon gave guidance that was better than expectations. AMZN shares are soaring about 15% in premarket trading.<br /><br /><span style="font-weight: bold;">Procter &amp; Gamble (NYSE: <a href="http://finance.aol.com/quotes/the-procter-and-gamble-company/pg/nys">PG</a>)</span>, a Dow component, reported earnings this morning, <a href="http://www.reuters.com/article/marketsnews/idAFN3046637320090130?rpc=33">meeting analyst expectations</a> of a $1.58 per share profit for the quarter. P&amp;G's quarterly profit jumped 53% due to a gain from the sale of its Folgers coffee business. One problem, though, sales unexpectedly declined 3% to $20.37 billion. Also, the government will protect an asset pool worth $118 billion. This morning, Bank of America also reported quarterly results, posting a <a href="http://money.aol.com/news/articles/_a/bbdp/bank-of-america-profit-drops-gets-20/306950">net loss of $1.8 billion</a> for the fourth quarter. For all of 2008, the bank managed to somehow post a profit of $4 billion, which is much less than its $15 billion net income from 2007. Bank of America blamed "escalating credit losses" as well as writedowns and trading losses in capital markets. The bank also reported that Merrill Lynch, which it acquired on Jan. 1 -- after the fourth quarter ended, lost more than $15 billion in the fourth quarter. BAC shares were nearly 5% higher in premarket trading after dropping over 18% Thursday.<br /><br /><span style="font-weight: bold;">Citigroup Inc. (NYSE: </span><a href="http://finance.aol.com/quotes/citigroup-incorporated/c/nys" style="font-weight: bold;">C</a><span style="font-weight: bold;">)</span> meanwhile will be guaranteed on $301 billion of assets. Citigroup also reported fourth-quarter results this morning, posting a <a href="http://money.aol.com/news/articles/_a/bbdp/citi-posts-loss-splits-up-the-company/309012">net loss of about $8.3 billion</a>, or $1.72 per share. Not surprising, it also blamed write-downs and losses in securities and banking, as well as "higher credit losses." For the full year 2008, Citigroup reported a net loss of about $18.7 billion, or $3.88 per share. Finally, Citigroup announced it was splitting into two parts: Citigroup, to handle traditional banking, and Citi Holdings, to manage the riskier assets including brokerage and retail asset management, local consumer finance and a special asset pool. Citi shares were almost 5% higher in premarket trading after dropping over 15% Thursday.<br />
<p><span style="font-weight: bold;">Intel Corp. (NADSAQ: </span><a href="http://finance.aol.com/quotes/intel-corporation/intc/nas" style="font-weight: bold;">INTC</a><span style="font-weight: bold;">)</span> reported Thursday after the close a <a href="http://money.aol.com/news/articles/_a/bbdp/intel-meets-but-profit-sinks-90-percent/306548">90% drop in fourth-quarter earnings</a> $234 million, or 4 cents per share, compared with $2.3 billion, or 38 cents per share, in the year-ago period. Sales slumped 23%, in line with Intel's previous guidance. Still, the results were inline with Wall Street's reduced expectations. Maybe that's why it decided to report six days early. JPMorgan even managed to avoid a loss in the fourth quarter, perhaps a sign it is managing much better than others during this crisis than other banks. Of course, it wasn't that rosy as its reported profit of $702 million, or 7 cents per share, was down sharply -- 76% -- from $2.97 billion, or 86 cents per share, a year ago. Analysts expected break-even results. Shares were 3% higher in premarket trading.<br /><strong><br />Apple Inc. (NASDAQ: <a href="http://finance.aol.com/quotes/apple-inc/aapl/nas">AAPL</a>)</strong> CEO Steve Jobs announced Wednesday after the close he is taking a <a href="http://money.aol.com/news/articles/_a/bbdp/apple-ceo-jobs-backtracks-on-health/306769">medical leave of absence</a> until the end of June. COO Tim Cook will be taking over Jobs' day-to-day operations, but Jobs said he'll still be involved in strategic decisions. When shares resumed trading in after-hours, they were down some 8%. Only last week Jobs said he suffers from a hormone imbalance that caused him to lose weight, but that he will remain CEO during his recovery. This has been quite the reversal that he says is due to his problems being "more complex" than originally thought. <br />This morning, also, Bloomberg reports that Jobs "could be <a href="http://www.bloomberg.com/apps/news?pid=20601087&amp;sid=agjIabcHgsIA&amp;refer=home">facing surgery</a> to remove his pancreas," according to doctors. <br />Apart from Jobs illness, though, Gartner has released a <a href="http://www.macrumors.com/c.php?u=http%3A%2F%2Fwww.gartner.com%2Fit%2Fpage.jsp%3Fid%3D856313&amp;t=1232020802">preliminary report</a> on U.S. and worldwide PC shipment, which places Apple in fourth place in U.S market share at 8.0% in the fourth quarter, down from <a href="http://www.macrumors.com/2008/10/14/apples-u-s-market-share-approaches-10/">9.5% in the third quarter of 2008</a>. <br />RBC Capital Mkts downgraded AAPL from Sector Perfrom to Underperform. <p>Genentech is among the <a href="http://www.investorplace.com/experts/james_dlugosch/articles/keep-eye-gilead-sciences-gild.html">leading biotech companies</a> in the world. It is engaged in the discovery, development, manufacturing and commercialization of pharmaceutical products intended for treatment of previously untreatable illnesses. </p>
<p>In 1990, Roche acquired a 56% stake in the company. Since that time, the relationship between the two companies has been a model for similarly structured combinations.</p>
<p>Roche's offer of $89 per share for DNA was characterized by DNA as significantly undervaluing the company. </p>
<p>But this was hardly a "hit the road, Jack" response. Shares were down 16% late in the day at $4.72.<br /><br /><a href="http://finance.aol.com/quotes/morgan-stanley/ms/nys ">Morgan Stanley</a> (NYSE: <a href="http://finance.aol.com/quotes/morgan-stanley/ms/nys ">MS</a>) and <a href="http://finance.aol.com/quotes/citigroup-incorporated/c/nys">Citigroup Inc.</a> (NYSE: <a href="http://finance.aol.com/quotes/citigroup-incorporated/c/nys">C</a>) both fell on news that the firms were about to launch a joint venture. Smith Barney, according to sources, could become a joint venture 51% owned by Morgan Stanley. Last week, the Pittsburgh-based producer of aluminum and alumina <a href="http://money.aol.com/news/articles/qp/pr/_a/alcoa-taking-decisive-action-to-address/rfid172981968">announced layoffs and production cuts</a> as a reaction to the economic downturn. Analysts surveyed by Thomson Reuters expect that Alcoa will have swung to its first quarterly loss in years: $0.10 per share. That compares to a profit of $0.36 per share in the same period of the previous year. Revenues for the quarter are expected to have fallen 28.8% from a year ago to $5.3 billion. For 2008, analysts are looking for earnings of $1.40 per share on revenue of $27.6 billion, down from $2.60 per share and $30.8 billion in the previous year. Alcoa missed earnings estimates in three of the past five quarters, by 25.4% in the third quarter. The consensus recommendation of analysts shifted from buy to hold AA during the past quarter. The share price has been climbing in recent weeks, but it is 65.6% lower than a year ago.</p>
<p><a href="http://finance.aol.com/quotes/intel-corporation/intc/nas">Intel Corp.</a> (NASDAQ: <a href="http://finance.aol.com/quotes/intel-corporation/intc/nas">INTC</a>) is also scheduled to report fourth-quarter results this week, one of a handful of tech stocks to do so. The number one semiconductor maker is expected to post earnings down 86.8% to $0.05 per share, and sales of $8.2 billion, down 23.3% from a year ago. Last week, <a href="http://money.aol.com/news/articles/qp/pr/_a/intel-announces-preliminary-fourth/rfid173207515">Intel forecast sales</a> for the quarter of $8.2 billion. The full-year numbers are expected to be marginally lower than a year ago, or $0.94 per share on $37.7 billion. Intel only missed earnings estimates in one of the past five quarters.
