Both are located in North Carolina. Both operate fleets of fossil fuel and nuclear power plants. The merger will give them the boost needed to expand their nuclear power stations outside North Carolina. So the partners decided that bigger is better.</p>
<p>The <a href="http://online.wsj.com/article/SB10001424052748704482704576072181641224052.html?mod=WSJ_business_whatsNews"><em>Wall Street Journal</em></a> (subscription required) reports that it's an all stock merger valued at about $13.7 billion. Under the deal Duke will exchange 2.6125 of its shares for each Progress share. Based on Duke's closing price on Friday, Progress shareholders would receive $46.48 a share, a 3.9% premium. Progress closed at $44.72 Friday. Duke will also assume $12.2 billion in debt. As I have said before, I believe it has turned into one big casino largely divorced from its original goal of providing capital to companies who produce something of value."</p>
<p>There's a lot of truth to what "granny" recently said to me in an e-mail. Fortunately she also noted <em>"FYI Granny's up 5.86% + dividends."</em> That would give her a gain of about 10% in the past ten months since I posted <a href="http://www.bloggingstocks.com/2009/10/09/where-should-granny-put-50-000/">Where should granny put $50,000</a>, suggesting a very conservative portfolio for an uncertain time.</p>

The strategic benefits, depressed stock price and yield all made it look like a good fit.<br />

Ten days ago, <a href="http://online.barrons.com/article/SB60001424052970203296004575352863897713790.html"><em>Barron's</em> trumpeted National Grid</a>, a British company traded on the NYSE, for all the same reasons, absent the merger and acquisition possibilities.<br />

So last week I bought NGG on a dip as a value proposition and if by some miracle <em>"my pal Warren"</em> makes a play for it that would be a bonus. Not to mention my crystal ball would go up in value. <p>Any time the volatility skews above 1.00, it is an indication that calls are more expensive than puts. Typically, when calls are more expensive than puts, it means the demand for calls is greater than the demand for puts because investors believe the stock is going to rise in the future and they want to take advantage of that movement by buying calls.</p>
<p>The opposite is also true. This baffled me.<br /> <br /> Only Tuesday, I wrote about Telecom Corp New Zealand (<a href="http://www.dailyfinance.com/quotes/telecom-corporation-of-new-zealand-limited/nzt/nys">NZT</a>), a <a href="http://www.bloggingstocks.com/2010/03/22/chasing-value-over-10-yield-down-under-telecom-new-zealand/">stock paying over 10% yield</a>. The story also mentions that AT&amp;T, Inc. (<a href="http://www.dailyfinance.com/quotes/atandt-inc/t/nys">T</a>) is currently paying a 6.4% yield and Verizon Communications Inc. (<a href="http://www.dailyfinance.com/quotes/verizon-communications-inc/vz/nys">VZ</a>) is offering 6.25%. <p>This morning, the power company announced that its second-quarter profit fell to 21 cents per share from 28 cents per share a year ago. Excluding items, the company would have earned 26 cents per share, which is a penny better than the consensus estimate. Revenue for the quarter fell to $2.91 billion from $3.22 billion a year ago and far short of the consensus estimate. The last few weeks the market has been down. Maybe it is because the rapid rise mid-March through mid-June is forcing people to stop and take a breath, or perhaps it is because investors are having second thoughts about whether the "green shoots" Ben Bernanke spoke of in regards to a healing economy were really just weeds.<br /><br />All in all, I still believe that there is opportunity in this market and I have been trying to point out how investors can get in with as little risk as possible, while being rewarded for their patience now, and when a recovery ensues ---- whenever that is. If you were in the market, you enjoyed it too.</p>
<p>It is more likely that the market will become somewhat volatile for the rest of the year rather than continue to rise substantially, barring some outlier. For this reason I have been emphasizing to our readers that they focus their attention on creating a watchlist of stocks they would like to acquire, potentially at great discount for the long haul.</p>

In a market where almost everything gained, there must eventually be separation between those that went with the flow and those that had something to show.<br /><br />The financial stocks, with the help of the government, were able to show some positive earnings. The banks do raise the suspicion that this is a case of "managing the numbers". <br />The government has helped them along by "reshaping" some accounting rules and giving them advance warning (and leaking to the public) of the results of its stress testing. Wang told BloggingStocks Friday electricity demand is a function of more factors than one might assume. The economic cycle, seasons, weather extremes, demographics, household formation, increased efficiency, technological change, and even popular culture trends are among the major factors affecting electricity demand.<br /><br />Wang believes the major factor in the recent dip is the current U.S. recession. "I will defer to more-comprehensive U.S. Energy Department and power association data later, but I think without question the economic downturn is a major factor. When people lose jobs, many tend to give up housing and live with roommates or relatives. This decreases electricity use. (BG)</a>, <a href="http://www.bloggingstocks.com/category/pot/" rel="tag">Potash Corp. of Saskatchewan (POT)</a></p><p><img title="Grains &amp; Oilseeds" style="WIDTH: 259px; HEIGHT: 192px" height="206" alt="Grains &amp; Oilseeds" src="http://www.bunge.com/images/headers/hdr_pic_grain_origination.jpg" width="290" align="right" border="0" />I have not decided who I am voting for yet. Or maybe it would be more accurate to say I have decided on multiple occasions only to become undecided again. While some will see me as fickle, or worse, others may be in the same boat.</p>
<p>I am also continuing to think about what difference any of the candidates can make on the economy, and based on these musings, where to invest. My current belief is that none of them will have a profound impact on our economy.</p>
<p>There are no financial wizards among them. Here is the shocker though: <strong>I like all three candidates</strong>, or at least can find some good in each of them. Each of them is a fighter, and I believe each one of them brings certain skill sets to the job. There are also things about each candidate that are inescapably negative. Clinton has so much baggage, Zsa Zsa Gabor would be jealous. Obama does not have the experience and he has a degree of arrogance <em>(right sweetie)</em>; McCain is an old stick-in-the-mud who, as a long-time senator, has spent more hours with lobbyists than almost anybody, though he is pretending otherwise.</p>
<p>Where does this leave me from an investment perspective? My first choice, for stability with moderate growth and dividends, remains the defense sector. I wrote <a title="View Defense sector rolls over S&amp;P 500 for 8th straight year on BloggingStocks" href="http://www.bloggingstocks.com/2007/12/19/defense-sector-rolls-over-sandp-500-for-8th-straight-year/" target="_blank"><font color="#55629b"><strong>Defense sector rolls over S&amp;P 500 for 8th straight year</strong></font></a> a while back and I still think that it is the most secure. Here's why:</p>
<p>A) None of the candidates will want to appear soft on defense when we are at war, and all three have made threatening remarks in some country's direction to make sure the electorate knows that.</p>
<p>B) The War in Afghanistan and Iraq rages on, and even the most optimist view is that a draw-down will take years.</p>
<p>C) Even if all war ceased immediately, the upgrading and replenishment of the hardware will cost billions of dollars and most of the defense contractors have that in their backlogs now. <a href="http://www.bloggingstocks.com/2008/05/27/chasing-value-general-dynamics-and-raytheon-the-defense-does-not/"><font color="#55629b">Chasing Value: General Dynamics &amp; Raytheon -- The defense does not rest</font></a></p>
