Perhaps this is one of the key reasons that <a href="http://finance.aol.com/quotes/the-dow-chemical-company/dow/nys">Dow Chemical</a> (NYSE: <a href="http://finance.aol.com/quotes/the-dow-chemical-company/dow/nys">DOW</a>) and <a href="http://finance.aol.com/quotes/rohm-and-haas-company/roh/nys">Rohm and Haas Co</a> (NYSE: <a href="http://finance.aol.com/quotes/rohm-and-haas-company/roh/nys">ROH</a>) agreed to come back to the table and find a way to strike a merger. If not, both parties were on a destructive path to an unpredictable trial.</p>
<p>Interestingly enough, the new terms of the deal <a href="http://news.dow.com/dow_news/corporate/2009/20090309e.htm">reinstate</a> the $78 purchase price, but, of course, there are some wrinkles. The Haas Family Trust and Paulson &amp; Co. will get as much as $3 billion preferred stock in Dow. At the time, it looked like a sign that confidence was coming back into the system. <br /><br />But, of course, the smart money was proved wrong - once again -- as the deal fell apart. So, this week Rohm &amp; Haas has <a href="http://www.bloomberg.com/apps/news?pid=20601087&amp;sid=ak4arlqniPlM&amp;refer=home">filed</a> a suit against Dow to force the deal to happen. The shares may go lower. <a href="http://finance.aol.com/quotes/rohm-and-haas-company/roh/nys">Rohm &amp; Haas</a> (NYSE:<a href="http://finance.aol.com/quotes/rohm-and-haas-company/roh/nys">ROH</a>), which is being bought by Dow, is suing to get the deal finished.</p>
<p><a href="http://www.smartmoney.com/breaking-news/on/?story=ON-20090126-000453-1256&amp;hpadref=1">According to</a> <em>Dow Jones, "</em>Dow confirmed that it doesn't intend to close the merger by a Tuesday deadline, with Chief Executive Andrew Liveris calling the deal 'untenable at this time' in a prepared statement. "</p>
<p>Dow is in a pinch. A joint venture with Kuwait, which should have brought in billions of dollars, was canceled. And, banks are not likely to lend money for most M&amp;A deals. Alcoa has been hit by the auto industry slowdown among other things and this is designed as cost-saving move to offset the declining demand. AA shares traded over 5% in premarket action at 7:30 am. AA shares traded 8% lower about an hour after open.<br /><br /><strong>Bank of America Corp. (NYSE: <a href="http://finance.aol.com/quotes/bank-of-america-corporation/bac/nys">BAC</a>)</strong> <a href="http://money.aol.com/news/articles/_a/bbdp/bank-of-america-sells-shares-in-chinese/296505">sold part of its stake</a> in China Construction Bank Ltd., China's second-biggest commercial lender, for $2.8 billion. BAC reduced its stake form 19.1% to 16.6%. Despite the $15 billion bailout money it received from the government, it seems BAC needs more money to cope with the worst financial crisis for banks since the 1930s. BAC shares were over 1% lower in premarket tade at 7:38 am. BAC shares were 2.5% lower around 10:20 am.<br /><br /><span style="font-weight: bold;"> Satyam Computer Sciences (NYSE: </span><a style="font-weight: bold;" href="http://finance.aol.com/quotes/satyam-computer-services-limited/say/nys">SAY</a><span style="font-weight: bold;">)</span> shares crashed 84.5% in premarket trading at 7:45 am after the software firm announced it had <a href="http://www.bloomberg.com/apps/news?pid=20601091&amp;sid=adYpaxB3ouQY&amp;refer=india">falsified accounts and assets for years</a> and inflated cash and bank balances by more than $1 billion, leading the group's founder and chairman to quit. In compiling the list, I used general themes that I thought would struggle during the coming year. At the top of the list were chemical companies.</p>
<p>Though not on the list of specific stocks to avoid, I certainly did consider calling out <a href="http://finance.aol.com/quotes/the-dow-chemical-company/dow/nys">Dow Chemical</a> (NYSE: <a href="http://finance.aol.com/quotes/the-dow-chemical-company/dow/nys">DOW</a>) as a stock to avoid in the coming year. That would have been insightful, as shares of DOW lost nearly 20% of their value due to the termination of a joint venture project in Kuwait</p>
<p>The proposed K-Dow Petrochemicals was formed to help Dow reduce exposure to the highly cyclical petrochemical plastics business. More importantly, the $17.4 billion venture was slated to provide Dow some much needed cash, including $7 billion up front.</p>
<p>That cash was going to be needed in Dow's yet-to-be-closed acquisition of <a href="http://finance.aol.com/quotes/rohm-and-haas-company/roh/nys">Rohm and Haas Company</a> (NYSE: <a href="http://finance.aol.com/quotes/rohm-and-haas-company/roh/nys">ROH</a>). That deal is currently valued at just over $15 billion and would have been much easier to swallow with the K-Dow deal intact.</p>
<p>Now, legitimate questions are being raised as to whether the Rohm and Haas deal will close. The Treasury also said it will lend up to $1 billion to GM so it can help GMAC raise more capital.<br /><br />Dow Chemical Co. (NYSE: <a href="http://finance.aol.com/quotes/the-dow-chemical-company/dow/nys">DOW</a>) over the weekend got news that Kuwait will no longer pursue a $17.4 billion joint venture with the company. Still, after tanking over 17% Monday, DOW shares traded 3.3% higher in premarket (7:38 am).<br /><br />Rohm &amp; Haas Co. Smith Barney says, "DOW should be looking to protect its shareholders by cutting the ROH deal at a lower price or walking away from the deal by paying a break up fee." DOW January option implied volatility of 59 is above its 26-week average of 49, according to Track Data, suggesting larger price movement.</p>

The rally may be short-lived given that many traders have taken the week between Christmas and New Year's off. Stock markets in <a href="http://www.bloomberg.com/apps/news?pid=20601087&amp;sid=a0MphRG7RulA&amp;refer=home">Europe and Asia</a> advanced as well.<br /><br />Oil prices are rising amidst growing worries about the clash between<a href="http://money.aol.com/news/articles/_a/bbdp/oil-jumps-to-near-40-as-israel-gaza/287520"> Israel and Hamas</a> in the Gaza Strip. In early trading today, oil topped $40 as the death toll in the clash reached 300. Whether the conflict will boost prices at the pump remains to be seen. Members of OPEC are expected to cut production further to boost prices, which are down more than 70 percent since July. Prices may fall further as the economic slowdown further erodes demand.<br /><br />Meanwhile, faith in the global economy was further undermined by the decision Sunday of Kuwait's government to cancel a $17.4 billion joint venture with<a href="http://finance.aol.com/quotes/the-dow-chemical-company/dow/nys"> Dow Chemical Co.</a> (NYSE: <a href="http://finance.aol.com/quotes/the-dow-chemical-company/dow/nys">DOW</a>). Basically, only relatively small LBOs -- between $1 billion to $2 billion -- are getting done.<br /><br />But there is a bright spot: strategic acquisitions. If anything, we are seeing a variety of mega deals in this category. A <a href="http://www.thedeal.com/newsweekly/features/party-on,-garth.php">survey</a> from Dealogic shows that - as of June 25 - there were $597 billion in strategic M&amp;A transactions, only 2% down from last year's total. <br /><br />Some of the notable deals include: InBev's $49.9 billion play for <a href="http://finance.aol.com/quotes/anheuser-busch-companies-inc/bud/nys">Anheuser-Busch Cos.</a> (NYSE: <a href="http://finance.aol.com/quotes/anheuser-busch-companies-inc/bud/nys">BUD</a>), Mars' $23 billion deal for <a href="http://finance.aol.com/quotes/wrigley-william-jr-co/wwy/nys">Wm. Some economic data is also on tap, but barring any breaking announcements, it seems stocks will drop at the start of trading, especially if oil continues its way up.<br /><br />On Thursday, U.S. stocks managed to post gains. What might have given a big push to stocks, a large multi-billion takeover of Rohm and Haas by Dow Chemical, was offset somewhat by concerns over the solvency of Fannie Mae and Freddie Mac and another surge in oil prices. The Dow industrials ended 81 points higher, or 0.73%, the S&amp;P 500 rose 8 points, or 0.7%, and the Nasdaq Composite added 22 points, or 1.03%.<br /><br />Oil concerns may very well continue today as <a href="http://www.bloomberg.com/apps/news?pid=20601087&amp;sid=adyUAK_yiGgM&amp;refer=home">crude oil rose for a third day</a>, to within $1 of a record, on supply concerns rising from a possible strike on Brazil oil platforms coupled with further unrest in the Middle East and Nigeria. Oil already soared $5.60 Thursday, or 4.1%, to settle at $141.65 a barrel. Today, crude oil for August delivery rose as much as $3.45, or 2.4%, to $145.10 a barrel on the New York Mercantile Exchange
<p>On the economic front, May trade balance is due out at 8:30 a.m. EDT. <p><a href="http://finance.aol.com/quotes/ruby-tuesday-incorporated/rt/nys">Huntsman</a> (NYSE:<a href="http://finance.aol.com/quotes/ruby-tuesday-incorporated/rt/nys">HUN</a>) is up over 15% on news that a Delaware court will expedite hearing a case over a broken buy-out of the company.</p>
<p>Dow Chemical is down 8% on news of its planned buy-out of ROH.</p>

Although June retail sales may benefit from the government checks and the warmer weather, it may not be enough to give stocks the lift they need as investors all but anticipated a possibly good month for retailers. <span style="font-weight: bold;">Update, following Dow Chemical announced deal, futures have turned much higher.</span><br /><br />On Wednesday, stocks tanked, retreating further in to bear market territory as concerns over financials increased. Specifically, the <a href="http://money.cnn.com/2008/07/09/news/companies/benner_fanniefreddie.fortune/index.htm?postversion=2008070914">solvency of mortgage companies</a> Fannie Mae (NYSE: FNM) and Freddie Mac (NYSE: FRE). <a href="http://money.cnn.com/2008/07/09/technology/cisco.fortune/index.htm?postversion=2008070915">Worries about techs</a> and Cisco Systems (NASDAQ: CSCO) in particular also weighed on the market. The Dow industrials dropped 236 points, or 2.08%, the S&amp;P 500 lost 29 points, or 2.28%, and the Nasdaq Composite fell 59 points, 2.60%.<br /><br />On the economic front, weekly jobless claims data will be released at 8:30 a.m. EDT. No recovery is expected in the labor market yet and the data will likely show increased claims.<br />Also, throughout the day, chain-stores will report June retail sales. Overall, J<a href="http://www.marketwatch.com/news/story/retailers-catch-break-june/story.aspx?guid=%7B0973B15E%2D959B%2D4646%2DBF53%2D6A81592A6BEC%7D">une sales are expected to rise 2.4%</a>, according to research firm Retail Metrics. That's a better rate than the 1.6% gain the companies registered for the first five months of this year, but lower than the average monthly gain of 2.6% last year and an average gain of 3.7% in 2006. A big chunk of this increase, though, is attributed to Wal-Mart Stores Inc. (NYSE: WMT).<br /><br />Already warehouse club operator Costco Wholesale Corp. (NASDAQ: <a href="http://finance.aol.com/quotes/costco-wholesale-corporation/cost/nas">COST</a>) said same-store sales, including gasoline sales, <a href="http://money.aol.com/news/articles/qp/ap/_a/costco-june-same-sales-rise-9-percent/rfid120329472?channel=%22pf%22">grew 9%</a> in June. Goldman Sachs CO says "ROH continues to prove the benefit of its portfolio and geographic diversification as strength in Asia and Europe offset the weakness in the US. ROH August option implied volatility of 30 is above its 26-week average of 22 according to Track Data, suggesting larger price risks.</p>

    <li>Research in Motion was upgraded to Outperform from Market Perform at Morgan Keegan. RBC Capital upgraded shares to Top Pick as they see continued upside from product momentum. Banc of America  upgraded to Buy from Neutral following the company's Q1 results and announced stock split. JMP Securities upgraded  to Market Outperform from Market Perform, saying confidence in demand and recent checks indicate very strong backlog and forecasts. <br /></li>
    <li>Komag was upgraded to Neutral from Underweight at JP Morgan following the buyout offer from Western Digital. <br /></li>
    <li>Western Digital was upgraded to Strong Buy from Buy at Needham, as the firm believes Western Digital's acquisition of Komag is a strategic positive and that accretion will likely be significantly better than guidance.</li>

    <li>BMO Capital upgraded the educator sector to Market Perform from Underperform, and <a href="http://finance.aol.com/quotes/apollo-group-inc-cl-a/apol/nas">Apollo Group Inc</a> (NASDAQ: <a href="http://finance.aol.com/quotes/apollo-group-inc-cl-a/apol/nas">APOL</a>) to Outperform from Market Perform.</li>
