AT&T (T) recently announced its proposed acquisition of T-Mobile in a cash and stock offer valued at roughly $39 billion. This is a significant announcement given the size of the two companies and since there was speculation that Sprint (S) might look to acquire T-Mobile. Sprint's shares were down 14% on this news. AT&T's move pits it firmly against Verizon (VZ) as both operators continue to build out their 4G networks.
Our price estimate for AT&T's stock stands at $35.80 which is around 40% ahead of the market price.

Telecom giant AT&T (T) is buying T-Mobile USA from Deutche Telekom (DTEGY) for $39 billion, according to the Wall Street Journal. The deal is for $25 billion in cash and the balance in stock. Deutche Telekom will get an 8% stake in AT&T. This is a game changer. Now AT&T will have one-third more customers than Verizon (VZ) and twice as many as Sprint Nextel (S). The new AT&T will have about 130 million subscribers. AT&T will have nearly 80% of its business in wireless.

Outlook for Verizon's Mobile Plan Pricing
Verizon (VZ) primarily competes with Sprint Nextel (S) and AT&T (T) in the mobile subscription plan business. The average monthly fee that Verizon's postpaid wireless subscribers pay for wireless service, excluding data service, has been consistently declining over the past few years. The decline in pricing is mainly attributable to nearing saturation of the U.S. cellular market, creating fierce competition among telecom players to maintain and increase their market share.
A successful Verizon-iPhone (AAPL) deal and rising data revenues from smart phone penetration could, however, offset declines in average mobile plan prices.

Over Half of Verizon Users Would Switch for an iPhone?
If Verizon (VZ) does eventually offer Apple's (AAPL) iPhone, there is little doubt it would be a nice boost to business. At the same time, the phone's exclusive carrier, AT&T (T), would suffer. There would also be problems for Sprint (S), which would likely see customer defections.
Of course, the wild-card is: how big would the impact be? Well, according to a recent survey from Morpace Omnibus, over half of Verizon customers would move over to the iPhone. Consider that the company has more than 92 million customers across the U.S.

Sprint Nextel Upgraded to Buy
Goldman Sachs (GS) was quite the busy brokerage this morning, as it trekked through the financial sector and also issued a number of other upgrades, including one for Sprint Nextel (S).
The brokerage upped Sprint to buy from neutral, issuing a $6 price target, a nice elevation from the previous target of $3.50. Goldman noted that the reason for the upgrade is churn, and that the company is "about to move the needle." Goldman stated, "Sprint's gross add/upgrade activity slowed sharply in 2008, which ironically should benefit the company over the course of 2010 as the logical pool of churn subscribers is reduced." The upgrade comes basically from a glorified hunch.

- FBR Capital upgraded Halliburton (HAL) to outperform from market perform as it sees less headline risk from the Gulf of Mexico spill following Wednesday's House Energy and Commerce Committee hearing. The firm upped its target for shares to $44 from $35.
- FBR Capital also upgraded Morgan Stanley (MS) to outperform from market perform as it views the valuation as attractive following the recent pullback in shares. The firm maintains a $35 price target for shares.
- Deutsche Bank upgraded Avnet (AVT) to buy from hold on valuation; it views the recent pullback as a buying opportunity. The firm raised its target for shares to $39 from $36.

Sprint Nextel First-Quarter Net Loss Widens
Sprint Nextel (S) reported Wednesday that its first-quarter net loss increased due to 1.5% lower revenue. The telecom giant's loss checked in at 29 cents per share, 8 cents wider than last year's same-quarter loss. Removing charges stemming from an increased valuation allowance for deferred tax assets from the equation, Sprint lost 17 cents per share. The post-charge loss matched the consensus estimate. Sprint's revenue totaled $8.09 billion, better than the expected revenue of $8.05 billion. Sprint added that it lost 75,000 net subscribers during the quarter. But when the company compared the results to a year ago, the telecom firm's improvement in post-paid gross subscriber additions and prepaid gross subscriber additions were the highest in five years.

Sprint Nextel (S) will again be using its CEO to try and explain to potential customers why they should choose the beleaguered telecom provider for their wireless calling and data needs. Using the marketing catchphrase "Our $69.99 is worth more than their $69.99," Sprint CEO Dan Hesse will be featured in a new advertising campaign to explain why Sprint offers so much more value for each customer's money than its two larger competitors, AT&T (T) and Verizon Wireless.
