<p>The operator of the Chili's and Maggiano's restaurant chains said it expects full year 2010 earnings to come in between $1.40 and $1.44 per share. The previous estimate was for between $1.15 and $1.30 earnings per share. A person familiar with the matter said that an announcement could come as early as late afternoon in Sweden. In Amsterdam, trading was suspended on the automaker amid the rumors.</p>
<p>Spyker has offered GM roughly $75 million in cash and $325 million preferred shares in Spyker, which would come from the transaction. The spinoff has been decided after seven months of fruitless searching by the British-based food giant to find a buyer for the unit.<br /><br />Cadbury will soon be listing its U.S. drinks unit on the NYSE under a different ticker after finding that U.S. consumers are not choosing its products, opting apparently for competitive beverages from <a href="http://finance.aol.com/quotes/the-coca-cola-company/ko/nys?from=lookup">Coca-Cola, Inc.</a> (NYSE: <a href="http://finance.aol.com/quotes/the-coca-cola-company/ko/nys?from=lookup">KO</a>) and <a href="http://finance.aol.com/quotes/pepsico-inc/pep/nys?tabs=quotesandnews">Pepsico, Inc.</a> (NYSE: <a href="http://finance.aol.com/quotes/pepsico-inc/pep/nys?tabs=quotesandnews">PEP</a>) among other drinks. Investment analyst Martin Deboo said from London that "They (Cadbury) wouldn't refuse any sensible offer, but the uncertainty around credit markets has to clear before bidders will come forward." In other words, the credit crisis that has semi-gripped parts of the U.S. economy made potential buyers cinch up those purse strings. As a result, no serious bidders ever emerged over the summer, much to the chagrin of Cadbury's management.<br /><br />At this time, Cadbury's U.S. drinks division is <a href="http://www.bloomberg.com/apps/news?pid=20601087&amp;sid=aVTnGWrwFMIo&amp;refer=home">pegged at a $14 billion value</a>, and although a spin-off is not exciting to anyone, it's required lest Cadbury continue to allow the suboptimal U.S. performance drag its overall financials down. The spinoff won't be completed before the second calendar quarter of 2008, according to Cadbury CEO Todd Stitzer. Earlier this year, Cadbury rejected an offer of about $13 billion from a <a href="http://www.bloggingbuyouts.com/">private equity</a> group comprised of the usual suspects: <a href="http://www.bloggingbuyouts.com/the-blackstone-group/">Blackstone Group LP</a>, <a href="http://www.bloggingbuyouts.com/kkr/">Kohlberg Kravis Roberts &amp; Co.</a> and Lion Capital LLP. However, taking the big haircut now could mean more money in shareholders' pockets further down the road.<br /><br />Conversely, another retailing behemoth, <a href="http://finance.aol.com/quotes/wal-mart-stores-inc/wmt/nys">Wal-Mart Stores Inc</a> (NYSE: <a href="http://finance.aol.com/quotes/wal-mart-stores-inc/wmt/nys">WMT</a>), sent out signals yesterday that it may, for the first time, start looking at acquisitions. Sam Walton must be rolling over in his grave.<br /><br />Wal-Mart's current CEO, Lee Scott, has had a tough time keeping good times rolling at the discount retailer. Whether it is market saturation or poor management decisions, he just cannot seem to get sales growing.<br /><br />But as Home Depot's board of directors has learned, it is often better to stay focused than to go on an acquisition binge. Sources have indicated Jones CEO Peter Boneparth is looking to sell the chain because of a decline in the company's stock price -- shares closed yesterday at $28.36, while trading in January for over $35. Additionally, having failed to sell the entire company nearly a year ago, Mr. Boneparth may be looking to take advantage of the highly competitive market for luxury goods. <br /><br />Because of the desire for luxury goods, Barneys has been sought after by publicly-traded companies as well as private-equity groups. There is strong market speculation that Istithmar, the investment arm of the Dubai government, could be the victor in the race for Barneys. Istithmar has a global real estate portfolio valued around $7 billion, including owning apparel retailer Loehmann's Holdings, and has been in hot pursuit of other U.S. properties over the past year. Sources close to the matter believe Istithmar could offer around $825 million for Barneys. <br /><br />In addition to Istithmar, rumors swirled recently that Neiman Marcus and <a href="http://finance.aol.com/quotes/nordstrom-inc/jwn/nys">Nordstrom Inc</a> (NYSE: <a href="http://finance.aol.com/quotes/nordstrom-inc/jwn/nys">JWN</a>) had been interested in the chain and considered making bids around in the $800 million to $850 million range price, but dropped out when both companies believed the price would escalate too high, perhaps as far as $1.4 billion. <br /><br />A sale of Barneys would likely come, as the <a href="http://www.nytimes.com/2007/06/22/business/22shop.html?_r=2&amp;ref=business&amp;oref=slogin&amp;oref=slogin"><em>New York Times</em></a> reported, as a "partial victory" for Mr. Boneparth. So here, dear reader, we go:<br /><br /><strong><a href="http://finance.aol.com/quotes/chaparral-steel-company/chap/nas">CHAPARRAL STEEL COMPANY</a> (NASDAQ: <a href="http://finance.aol.com/quotes/chaparral-steel-company/chap/nas">CHAP</a>)</strong><br /><br />Down in Midlothian, Texas there's a big old "For Sale" sign posted right out there on Ward Rd. That's right. The folks at Chaparral Steel have put the word out: "Come on down." Don't know if that was Goldman Sachs' (GS) idea or not, but those Yankees are there in force looking over them "strategic alternatives." And they're good at it, too. It's probably going to be a sale, but nothing wrong with a partnership, merger recapitalization or taking over another fella's firm. You know? Or who knows, they could decide to sit pretty a while longer. Anyway, the second largest producer of structural steel beams in all North America sure likes to let its neighbors know what it's up to. (YHOO)</a></p><p>Well, it has gone and done it now. <a href="http://finance.aol.com/quotes/microsoft-corporation/msft/nas">Microsoft Corp.</a> (NASDAQ: <a href="http://finance.aol.com/quotes/microsoft-corporation/msft/nas">MSFT</a>) has apparently initiated talks with <a href="http://finance.aol.com/quotes/yahoo-inc/yhoo/nas">Yahoo! Inc.</a> (NASDAQ: <a href="http://finance.aol.com/quotes/yahoo-inc/yhoo/nas">YHOO</a>) again. All I can say is, <em>HAVE IT NO PRIDE??? </em></p>
<p>After Yahoo!'s management shrugged it off the last time it made an offer, Microsoft management should have undertaken an entirely different strategy which should have involved ramping up its own Internet advertising showboat and pinning Yahoo against the wall until it cried uncle and begged for <em>just anyone</em> to acquire it. Instead, MSFT went home, licked its wounds and now came back whining, "Please oh please, won't you marry me?" What kind of limp-wristed business strategy is that?!</p>
<p>The whole thing seems to be sired by Microsoft's bushel of sour grapes in regard to losing the DoubleClick bidding war to <a href="http://finance.aol.com/quotes/google-inc-cl-a/goog/nas">Google Inc.</a> (NASDAQ: <a href="http://finance.aol.com/quotes/google-inc-cl-a/goog/nas">GOOG</a>). My interpretation of Microsoft's subliminal message here is that it couldn't win the game so it's going to pay the crippled kid down the street to come play with it. Is that possible? Well, we hear a lot of things, and now it has surfaced that the colas might make a play for the coffees. How much fizz is there to it? Mercedes can begin to plan for a future without Chrysler. Here we go: Blackstone Group, Cerberus Capital Management, and Canadian auto supplier Magna International (MGA) are now expected to make their play for the company founded by Walter P. Chrysler. Once again, no one's talking, but bids are apparently to be received by J.P. Morgan Chase (JPM) for DaimlerChrysler before the company's annual meeting next Wednesday in Berlin. For goodness sakes, you're in the telephone business. Who's going to believe that? "Rumors and speculation" is all they'll say. Well, that's why we're here: r-u-m-o-r-s. Kohlberg Kravis Roberts has been mentioned. One Canadian paper even said BCE hired Goldman Sachs (GS) for advice. They don't lower their fees just for rumors, do they? And Wendy's is taking the cliche very literally in today's news, <a href="http://money.aol.com/news/articles/_a/wendys-to-sell-struggling-baja-fresh/n20061012175509990005">announcing it will sell Baja Fresh </a>and refocus on its core hamburger business.</p>
<p>The renewed focus on burgers makes sense, but Wendy's International (NYSE:WEN) bought Baja Fresh only four years ago for $275 million and will be selling for barely more than 10% of that figure, $31 million, to a consortium of investment firms. That's a pretty miserable return.</p>
<p>Hopefully, however, the sale will allow management to spend some time getting introspective. First, there's the sagging brand. I'd agree that, as <em>QSR Magazine</em>'s Sherri Daye Scott says, the brand image is struggling. Wendy's used to be known for its higher quality and spicier menu options compared to other fast food restaurants, and now I can barely tell the difference. When was the last time you felt the yearning for an ice-cold Frosty? In high school (I'll admit), I'd have a few a week. I haven't tasted one for years.</p>
<p>Then there's the menu. Why doesn't Wendy's have breakfast? We've already determined that (yes) fast food customers -- and even many of the health nuts out there -- love breakfast. The restaurant has plans to expand its test to the rest of its outlets this year. Also, Wendy's will be adding a double-melt hamburger, along with more "indulgent" sandwiches.</p>
<p>A lot of this sounds very derivative, picking and choosing from the successes of its competitors' strategies. I don't have a problem with that!  Wendy's <a href="http://finance.aol.com/quotes/wendy-s-international-inc/wen/nys">stock was up $1.39 today, 4.12%, to $35.11</a> on anticipation of good news. </p>

(<a href="http://finance.aol.com/quotes/time-warner-inc/twx/nys">NYSE: TWX</a>) has finally reached terms over the sale of AOL Germany's online access business. As noted, Time Warner is already in a general agreement with Neuf Cegetel for the sale of AOL France. Now that there are separate deals for the German and French units, it should set a guideline for the AOL UK terms.<br /><br /><a href="http://today.reuters.com/news/articlehybrid.aspx?type=comktNews&amp;rpc=33&amp;storyid=2006-09-17T213151Z_01_N17362370_RTRIDST_0_MEDIA-AOL-TELECOMITALIA-UPDATE-1.XML">Telecom Italia SpA is paying 675 million Euros</a> (roughly $870 million) in cash to Time Warner, and the deal is expected to close in early 2007 pending regulatory approvals. Approvals come at the formality-stage -- there are really not any major hurdles known by the Street that would need to be overcome for the deal to close. </p>
<p>The AOL Germany unit has 1.1 million broadband users and 1.3 million who use dial-up or ISDN access. This deal will make Telecom Italia the number two player in Germany with some 3.2 million customers, second only to Deutsche Telekom's T-Online unit. That valuable broadband segment from AOL Germany is said to be 9% of Germany's 12 million+ total broadband subscribers, although it is expected to grow by 10 million more through 2009 according to an <em>Associated Press</em> figure.<br /><br />As part of a five-year partnership, AOL will host a web portal for Telecom Italia's entire base of residential users in Germany and it will design and host an audience service for the Telecom Italia subscribers in Germany. AOL will be responsible for all online advertising sales for the co-branded audience services.
