The September unemployment rate rose to 9.8%, exactly what most observers had been expecting.<br /><br />T<font color="#000000"><font face="Arial,Verdana,Sans-Serif">h</font></font>e markets tried to gain back more than all the early losses, with all three major indexes ending slightly down. Crude oil has fallen below $70/barrel again, and gold has broken through $1,000/oz again. It could just be the case that the nearly 60% run-up since March in the S&amp;P 500 was just wishful thinking that the economy was turning around and that consumer spending would would tick up as things improved. That thinking has not been borne out yet, so markets are likely to wobble around until the consumer decides what to do -- save or spend. The holiday season could write the ending to the story.

The reason for the changes are that <a href="http://finance.aol.com/quotes/wyeth/wye/nys/option-chains">Wyeth </a>(NYSE: <a href="http://finance.aol.com/quotes/wyeth/wye/nys/option-chains">WYE</a>) is being acquired by <a href="http://finance.aol.com/quotes/pfizer-inc/pfe/nys/option-chains">Pfizer<strong> </strong></a>(NYSE: <a href="http://finance.aol.com/quotes/pfizer-inc/pfe/nys/option-chains">PFE</a>), leaving an opening in both the S&amp;P 100 and S&amp;P 500 (SPX). I want to focus on the stock that will <a href="http://www.rttnews.com/ArticleView.aspx?Id=1083253&amp;Category=Breaking%20News">replace WYE</a> in the SPX, <a href="http://finance.aol.com/quotes/first-solar-inc/fslr/nas">First Solar</a> (NASDAQ: <a href="http://finance.aol.com/quotes/first-solar-inc/fslr/nas">FSLR</a>). In after-hours trading, FSLR jumped more than 6% in response to the announcement.<br /><br />FSLR manufactures solar modules and is a major benefactor of what I like to call the "green rush" that took place during the past two years. FSLR capitalized nicely on the global environmental consciousness revolution last year, ascending as high as the $310 region. The company posted earnings of 44 cents per share versus analyst estimates of 39 cents. Data from Thomson Reuters reports a 29% increase in capital markets and M&amp;A fees for the first time in more than a year. Share sales (e.g., rights offerings) were where dealmakers found the action. In the shrinking M&amp;A space, <a href="http://finance.aol.com/quotes/morgan-stanley/ms/nys" target="_blank">Morgan Stanley</a> (NYSE: <a href="http://finance.aol.com/quotes/morgan-stanley/ms/nys" target="_blank">MS</a>) has taken the lead spot. </p>
<p>Since there are fewer banks in the marketplace than there were a year ago -- and they have less money -- the capital is starting to come from elsewhere. As one has come to expect, the market believes that the company will be experiencing a decline in bottom-line income. <p>That's a drop of 20%. That might not sound so hot, but the good news is that Pfizer has a solid recent track record when it comes to beating earnings expectations. Pfizer is scrapping work on esreboxetine, a fibromyalgia treatment, and PD 332,334, a drug for generalized anxiety disorder, because "it was considered unlikely that either compound would provide meaningful benefit to patients beyond the current standard of care."</p>
<p>Currently, Pfizer is fumbling to find a replacement for its successful cholesterol drug, Lipitor, which loses patent protection in 2011. The pharma firm isn't having much luck, though. The online retailer's fourth-quarter profit rose 9% to $225 million, or 52 cents per share, trouncing expectations of 39 cents per share. Revenue rose 18% to $6.7 billion, again exceeding analyst estimates for $6.4 billion. Even for the current quarter Amazon gave guidance that was better than expectations. AMZN shares are soaring about 15% in premarket trading.<br /><br /><span style="font-weight: bold;">Procter &amp; Gamble (NYSE: <a href="http://finance.aol.com/quotes/the-procter-and-gamble-company/pg/nys">PG</a>)</span>, a Dow component, reported earnings this morning, <a href="http://www.reuters.com/article/marketsnews/idAFN3046637320090130?rpc=33">meeting analyst expectations</a> of a $1.58 per share profit for the quarter. P&amp;G's quarterly profit jumped 53% due to a gain from the sale of its Folgers coffee business. One problem, though, sales unexpectedly declined 3% to $20.37 billion. <p><a href="http://finance.aol.com/quotes/netflix-inc/nflx/nas">Netflix Inc.</a>'s (NASDAQ: <a href="http://finance.aol.com/quotes/netflix-inc/nflx/nas">NFLX</a>) fourth-quarter earnings jumped 45% percent to <a href="http://money.aol.com/news/articles?id=n20090126161809990008&amp;cid=1183">nearly $23 million</a>, or 38 cents per share, which surpassed analysts' estimates. Revenue in the period rose 19% to $360 million. The company ended 2008 with 9.4 million subscribers, a gain of 718,000 customers from the end of September. Shares fell $0.29, less than 1% Monday.</p>
<p><a href="http://finance.aol.com/quotes/amgen-inc/amgn/nas">Amgen Inc.</a>'s (NASDAQ: <a href="http://finance.aol.com/quotes/amgen-inc/amgn/nas">AMGN</a>) fourth-quarter profit <a href="http://money.aol.com/news/articles?id=n20090126164109990019&amp;cid=1183">grew 15% percent to $961 million</a>, or 91 cents per share, mostly due to lower expenses. Revenue was $3.75 billion about the same as last year. Results included $60 million in restructuring costs a year ago. (NYSE: <a href="http://finance.aol.com/quotes/pfizer-inc/pfe/nys">PFE</a>)</strong> announced a <a href="http://news.aol.com/article/pfizer-agrees-to-buy-wyeth-for-68/317489">deal to acquire</a> rival <strong>Wyeth (NYSE: <a href="http://finance.aol.com/quotes/wyeth/wye/nys">WYE</a>)</strong> for $68 billion, or $50.19 a share, a 15% premium to Friday's close of $43.74. This cash-and-stock deal is the largest in the drug sector since 2000 and many see it as a precursor to a flourishing M&amp;A season as the credit markets are slowly starting to improve. Pfizer also reported a 90% profit drop for the fourth quarter due to charges. PFE shares declined 3.4% in premarket trading, while WYE shares gained nearly 5%.<br /><br /><strong>Barclays (NYSE: <a href="http://finance.aol.com/quotes/barclays-plc/bcs/nys">BCS</a>)</strong> shares surged in London Monday after the <a href="http://www.marketwatch.com/news/story/Barclays-shares-rebound-after-reassuring/story.aspx?guid={B07BBEDB-0DE5-4EC1-B743-AE1F08AF56E9}">firm reassured investors</a> in a letter to shareholders it didn't need more capital. But France's <strong>BNP Paribas</strong> said it would take more cash from the government following a 1.4 billion euro ($1.8 billion) loss in the latest quarter. Finally, <strong>ING (NYSE: <a href="http://finance.aol.com/quotes/ing-groep-n-v/ing/nys">ING</a>)</strong>, the Dutch financial services firm, also received government aid as it is expected to announce it had a net loss of 3.3 billion euros in the fourth quarter, that it would cut 7,000 jobs, and that its CEO would step down. BCS shares gained over 44% in premarket trading and ING's gained over 19%.<br /><br /><strong>Caterpillar (NYSE: <a href="http://finance.aol.com/quotes/caterpillar-incorporated/cat/nys">CAT</a>)</strong> and <strong>McDonald's (NYSE: <a href="http://finance.aol.com/quotes/mcdonald-s-corporation/mcd/nys">MCD</a>)</strong> are two Dow components set to report earnings this morning. CAT said its <a href="http://www.marketwatch.com/news/story/Caterpillar-fourth-quarter-profit-falls/story.aspx?guid={350D37F5-ED6E-4DA5-9DD5-882AC7FEE882}">fourth-quarter profit fell</a> to $661 million, or $1.08 a share, from $975 million, or $1.50 a share, in the year-ago quarter. Revenue rose 6% to $12.9 billion. For 2009, Caterpillar gave a a much lower guidance than analysts had expected, $2.50 vs. $4.35 EPS. CAT also said it would slash 20,000 jobs. CAT shares fell over 11% in premarket trading.<br />Meanwhile, MCD delivered what at first glance seems to be <a href="http://www.marketwatch.com/news/story/McDonalds-Corp-net-falls-23/story.aspx?guid={88949903-87E2-41D5-971E-5F2393C50032}">better-than-expected earnings</a> of 87 cents vs. 84 cents. The earnings season continues in full force with Caterpillar and McDonald's set to report earnings this morning. [Update: Dow futures turned negative after CAT's earnings and dismal forecast for 2009. S&amp;P 500 and Nasdaq futures still hang in positive territory.]<br /><br />As President Obama continues to <a href="http://news.aol.com/article/congress-takes-up-economic-plans/317407">work on the economy</a> and appoint his advisors and cabinet members, Congress is set to consider Obama's choice to head the Treasury Department as well as act on legislation to spur economic growth.<br /><br /><a href="http://news.aol.com/article/european-stocks-rise-led-by-banks/298250">Overseas</a>, Asian markets declined, but European markets rose Monday led by banks after Barclays calmed markets by reassuring on capital. <p>A good point and one which may indicate that there is an unexpected wave of M&amp;A coming. </p>
<p>Recent reports from analysts and the media say that the recession will cause huge drops in revenue in industries beyond retailing., Hotels are facing unprecedented leaves of vacancies. Many car parts suppliers are up against cash problems. Airlines are again being challenged by falling revenue as traffic dries up.</p>
<p>The Pfizer deal with Wyeth is more about cost cutting than it is about increasing revenue. Each company has it its own line of drugs. Putting the two companies together do not appear to do anything to improve sales, at least in the early stages. But, the firms believe that they can fire tens of thousand of people as they face having some of their drugs lose patent protection which actually could drive revenue down at the new company. </p>
<p>Many other industries are facing similar troubles and are facing them now. If firms in these sectors cannot sharply reduce costs, they won't be around in a year.</p>
<p>M&amp;A is back, but it is back for reasons that show how ugly the economy is getting.</p>

Stocks followed oil higher higher for much of the day, although for all practical purposes this was a down day. Here are today's unofficial closing levels:<br /><br />Dow 8,077.64 -45.16 (-0.56%) <br />S&amp;P 500 831.97 +4.47 (0.54%) <br />Nasdaq 1,477.29 +11.80 (0.81%) <br /><br /><a href="http://www.247wallst.com/2009/01/top-pre-mark-15.html">Top Analyst Upgrades</a><br /><a href="http://www.247wallst.com/2009/01/top-pre-mark-14.html">Top Analyst Downgrades</a><br /><br /><a href="http://finance.aol.com/quotes/gern/nys">Geron Corporation</a> (NASDAQ: <a href="http://finance.aol.com/quotes/gern/nys">GERN</a>) was the star stock of the day. This stem cell and biotech received FDA approval to conduct initial trials using embryonic stem cells in spinal cord treatments to see if helps in paralysis and for safety evaluation. Shares were up nearly 40% at $7.24 right before the close.<br /><br /><a href="http://finance.aol.com/quotes/goog/nys">Google Inc.</a> (NASDAQ: <a href="http://finance.aol.com/quotes/goog/nys">GOOG)</a> was one of the starts of the day after the company beat earnings. What is perhaps more important than anything is that they did not say everything was falling off a cliff. Shares were up over 6% at $325.30 right before the close.<br /><br /><a href="http://finance.aol.com/quotes/GE/nys">General Electric Corporation</a> (NYSE: <a href="http://finance.aol.com/quotes/GE/nys">GE)</a> saw profits fall almost 50% to show just how tough the magnitude is, but this was in-line with lowered expectations. There was a disappointment that Immelt is holding on to that high dividend, and not everyone is convinced that its "AAA" rating is as solid as the company says. Shares were down a disappointing 11% at $11.98 right before the close.<br /><br /><a href="http://finance.aol.com/quotes/wye/nys">Wyeth (NYSE: WYE)</a> traded up on word that it was in talks to be acquired by Pfizer in a monster $60 billion merger pact. Shares were up 13% at $43.92 before the close.<br /><br /><a href="http://finance.aol.com/quotes/SLB/nys">Schlumberger Ltd.</a> (NYSE: <a href="http://finance.aol.com/quotes/SLB/nys">SLB)</a> gave a disappointing earnings report this morning, but traders just followed it with oil prices. Since this is not a particularly good time to complete M&amp;A work, it is hard to understand why the big drug company would be considering the deal.</p>
<p><a href="http://online.wsj.com/article/SB123268511212809429.html?mod=testMod">According to</a> <em>The Wall Street Journal, "</em>A combination of these two U.S. pharmaceutical giants would redraw the boundaries of the global drug industry, which has suffered from flagging product development and high fixed costs." </p>
<p>Investors don't have to go far to see the motivation. The combination would allow the new entity to cut hundreds of millions if not billions of dollars in redundant costs. No matter how much risk there is in integrating the two companies, the ability to cut expenses is too big a motivation.</p>
<p>Welcome to the next stage of the recession and rising unemployment. Up until now most large layoffs have come from individual companies with falling sales and operating incomes. Cuts give them modest cost savings, perhaps enough to get through the recession without losing money.</p>
<p>But, industry consolidation is often the next shoe to drop in a failing economy. It has already happened in financial services. But, that sector is in shambles. Both Pfizer and Wyeth have been consistent money-makers. They would  be benefiting from tens of thousands of job cuts in a marriage.</p>
<p>The economy is really bad when corporations which has been doing OK take large risk to dump staff.</p>
